DISPOSAL OF PROPERTY
Hampton Trust announces that its subsidiary, Hampton Investment Properties
Limited, has exchanged conditional contracts with Diversified Property Fund PLC
("Diversified Property Fund") for the disposal of Ty Bethesda, Unit 3, Riverside
Court, Avenue de Clichy, Abermorlais, Merthyr Tydfil ("Ty Bethesda") for a total
cash consideration of #3.8 million. In return for a variation in the
occupational lease, the property's tenant, The Secretary of State for the
Environment, through their agent Land Securities Trillium Limited, is to be paid
a proportion of the full consideration amounting to #438,600, resulting in a net
consideration to the Company of #3,361,400.
The property's current book value is #3,037,000, resulting in a profit on
disposal of #324,400.
Ty Bethesda, which was constructed within a complex of three self-contained
office buildings in 1996, comprises 30,520 square feet (2,835 square metres) of
office accommodation. The freehold property is currently let to a single tenant,
The Secretary of State for the Environment, and has a net passing rent of
#265,050 per annum representing an initial net yield of 6.9 per cent.
Diversified Property Fund paid the Company a 10 per cent. cash deposit on
exchange of contracts with the balance due on completion. The contract is
conditional upon the variation of a reciprocal covenant as to use with an
adjoining owner. Completion will take place five working days after the
variation has been granted.
Hampton Trust, which owned a long-leasehold interest over the entire
development, acquired the freehold interest from the Law of Property Act
receiver in March 2003, thereby increasing the property's investment value. An
agreement was subsequently reached with the tenant to improve the property's
investment value by varying the lease to provide for a 15 year unexpired term
and minimum uplifts at future rent reviews in line with RPI. The uplift in value
created by the variation is to be shared between Hampton Investment Properties
and the tenant.
