Class A Share: means a Class A ordinary share of a par value
of US$0.0001 in the share capital of the Company;
Class B Share: means a Class B ordinary share of a par
value of US$0.0001 in the share capital of the Company;
Class B Share Conversion: means the conversion of
Class B Shares in accordance with Article 18;
Company: means the above named company;
Compensation Committee: means the compensation committee of the board of Directors of the Company established pursuant to the Articles;
Control: means with respect to a Person, the power or authority, whether exercised or not, to direct the business, management and
policies of such Person, directly or indirectly, whether through the ownership of voting securities, by contract or otherwise; provided that such power or authority shall conclusively be presumed to exist upon possession of beneficial ownership or
power to direct the vote of more than fifty per cent (50%) of the votes entitled to be cast at a meeting of the members or shareholders of such Person or power to control the composition of a majority of the board of directors of such Person. The
terms Controlled and Controlling have meanings correlative to the foregoing;
Designated Stock Exchange: means any
national securities exchange or automated system on which the Companys securities are traded, including The New York Stock Exchange, the NASDAQ Capital Market or any
over-the-counter (OTC) market;
Directors: means
the directors for the time being of the Company;
Dividend: means any dividend (whether interim or final) resolved to be paid on
Shares pursuant to the Articles;
Electronic Record: has the same meaning as in the Electronic Transactions Act;
Electronic Transactions Act: means the Electronic Transactions Act (2003 Revision) of the Cayman Islands;
Equity-linked Securities: means any debt or equity securities that are convertible, exercisable or exchangeable for Class A Shares
issued in a financing transaction in connection with a Business Combination, including but not limited to a private placement of equity or debt;
Governmental Authority: means any nation or government or any province or state or any other political subdivision thereof, or any
entity, authority or body exercising executive, legislative, judicial, regulatory or administrative functions of or pertaining to government, including any court, tribunal, government authority, agency, department, board, commission or
instrumentality or any political subdivision thereof, any court, tribunal or arbitrator, and any self-regulatory organisation;
Indemnified Person: has the meaning ascribed to such term in Article 49.1;
Initial Conversion Ratio: has the meaning ascribed to such term in Article 18.1;
Initial Members: means the Sponsor and all Members immediately prior to the consummation of the IPO;
Investor Group: means the Sponsor and its Affiliates, successors and assigns;
IPO: means the Companys initial public offering of securities;
IPO Redemption: has the meaning given to it in Article 54.5;
Management: has the meaning given to it in Article 55.1;
Member: has the same meaning as in the Statute;
Memorandum: means the memorandum of association of the Company;
