AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGES IN FISCAL YEAR

Effective November 4, 2007, the Bylaws of Baldor Electric Company were amended to add a bylaw to allow all classes and series of shares of Baldor stock to be represented by uncertificated shares. The text of the Bylaw amendment is attached hereto as Exhibit 3.1.
