(NYSE: BEC - News) (referred to as "Beckman" or the “Company”) by Danaher (“Danaher”) in a cash transaction valued at approximately $6.8 billion, including debt assumed and net of cash acquired.

Under the terms of the agreement, Danaher will acquire all of Beckman's outstanding common stock for $83.50 per share in cash (without interest). An affiliate of Danaher is expected to commence a tender offer (the "Offer") for all of Beckman's outstanding common stock by February 16, 2011 and will remain open for a minimum of 20 business days following commencement of the Offer.
