Item 8.01. Other Events.

On July 25, 2024, Virpax Pharmaceuticals, Inc. (the “Company”) prepaid in full all amounts owed under the senior secured promissory note (the “Secured Note”) that it issued to an investor on July 5, 2024. The total payment amount, including principal and accrued interest, was approximately $2,525,000. The Secured Note had a maturity date of December 31, 2025, was secured by a lien on all of the Company’s assets and bore interest at a rate of 18% per annum.
