IN two days there may be shares available to short,, TNXP

Might regret it cause I might be able to buy it
cheaper in the next few days. But did a little
nibbling on some shares here at $14.94...

Why? Don't know what its going to do, expect
it to fall off some more, but am ok with this price relative
to my target price. Not much more you can do is there
except hope the reason you bought in proves out.

Disclaimer: now will wait for the chart to show where
it finds support post the split, see if the share price gets
tagged by the shorts. And if it does?? Well then, that will
be another 'add' in the making for me.

Why is it that I never get my shares? My 20 shares of TNXP just disappeared from my account when I should have ONE SHARE now ! Same thing happened to ACON, I had 3 shares and NEVER got my one share ! Also I was supposed to have 2 shares of CRKN and ended up with just one and cashed out on the other that was supposed to be rounded up to a full share. Every time I LOSE. They NEVER round me up to a full share as STATED in every directive by the companies ! What is this criminal empire chit ?

Pre market trading halted! Tonix in violation of SEC regs! The company is a sham. SP will fall into single digits. They will need to do another RS soon.

On the R/S:

-Hopefully they EXPLAIN in their next CC why the 1-100
-They have already sold a lot of shares to raise capital to
fund operations, say they are good till Jan 2026
-The share count is going to be really tight at 5.9 Mill shares
-IF there is any demand, it could get interesting
-In the meantime, keep your focus on their MARKET CAP. Mine is
around $500 Mil for something like this in terms of a valuation.
-would make the share price somewhere around $85-90/sh at this
split ratio
-yeah, it won't be an easy ride as the market shakes out the effect
of the r/split and likely hits the share price.
-UNLESS some bigger players start to scarf up the shares and there
currently isn't a heck of a lot of them to grab.

and as a side note, I am a wondering what the SPLIT ratio will be
going forward cause I fully expect them to do a forward split to keep the
share price 'affordable' down the road, likely before Aug..

Sometimes it takes a while before everyone can buy or sell it again because of the RS. I have experienced that before with other RS's.

I don't like the 1 vs 100 RS.
But will be watching and waiting especially for August ('final FDA approval for market') etc.

Down another 22.5% today! There is no bottom to this stock. Even after the R/S takes effect the stock will continue to tank. It wont be long before they will have to do anther R/S. FDA approval is a pipe dream!

TNXP; 1:100 share consolidation ( aka, R/S ) is effective Wednesday, Feb 5th.
TNXP will continue to trade on NASDAQ.

Tonix Pharmaceuticals might attempt to appeal by arguing that the reverse stock split was approved by shareholders before the new Nasdaq rule took effect on January 23, 2025. However, this argument may not hold for several reasons:
1. Shareholder approval does not equal execution
• The reverse split was only authorized by shareholders in October 2024, but the final decision on the exact ratio (1-for-100) and its implementation were made by the board in February 2025.
• Nasdaq may consider the execution date, not just the approval date.
2. The rule applies to reverse stock splits from the past two years
• Nasdaq Rule 5810(c)(3)(A)(iv) considers all reverse stock splits executed in the last two years, regardless of when they were approved.
• Tonix has already conducted a 1-for-32 split in 2024 and a 1-for-32 split in 2022, and the new 1-for-100 in 2025 brings the total to 1-for-102,400, far exceeding the 250-to-1 threshold.
3. Nasdaq is likely to apply the rule retroactively
• Since the rule explicitly refers to reverse splits over the past two years, Nasdaq will likely not make exceptions for companies that had already planned a reverse split before the rule’s approval.

Possible ways for Tonix to respond:
• Request an interpretation from Nasdaq arguing that the shareholder approval predates the rule.
• Seek an exception or extension to demonstrate the ability to maintain compliance without further reverse splits.
• Consider transitioning to another exchange (such as OTC Markets) if delisting appears inevitable.

Cutting expectations...

Pretty clear at this point that we are going to have to
CUT our expectations with regard to the 'returns' anticipated.

I had conservatively $3/sh, but due to the selling of shares for cash,
I have reduced that down to a $ (ok, now $100).

Thats still a very likeable return for those with APSs sub 25 cents IF it
happens.

But my concern is, while they say they SHOULD be good cash wise
into the 1st qtr 2026, at what point will they sell more shares, and how
much more dilution can we expect.

I don't believe it will matter what the share price is after the R/S. It can be $10 or $15 but after the R/S Tnxp will still dump fast and hard. I would not be surprised to see it back under $1. soon. JMO Only.

Every company is doing the same thing these days. R/S, offering and then price drops, rinse and repeat. I thought by LAW companies must make sure shareholders get enriched and not depleted of their wealth. Guess that law was pure BS.

All that being said it is still very disappointing to see another RS. Wiped out share holders again. And they don’t need 100/1. That is a slap in the face to us longs. But hey, if they get approval then all will be forgiven I suppose. Wishing everyone luck

Ok, where are THEY (and us)??

Most important is, does the reason you bought in in the
first place still remain intact? (the approval). As far as I know,
that answer is YES. There is still a decision date in Aug.
If that answer was no, well, at least at this price, I could get out
essentially whole and I would.
So my reason for being here is still present.

Target price: whats happened to that. I had only $3 (now $300) pre decision
premised on the potential for the decision to raise demand for the shares.
I had no position on the price post the decision IF it was approved.
And I was expecting them to sell some shares to raise cash as they were
a bit 'light' in that dept. But was surprised to see the new share count they
reported in the 8K. Which knocked my target price down to 95 cents pre split.

My 'gains': with a cost basis 20-22 or so, my 'expectations' have taken a hit
due to the selling of shares. But if my target price is hit by Nov?? I will be ok
with the gains that would present.

So, that all said, whats likely next??
-the 1-100 on Wed. Roughly $20/sh. Do I expect a pullback in the share price?
Part of me says yes because it has room to fall. So if it does, I will grab some
more when I sense it bottoming out.
But at the same time, the INSTITUTIONAL holding is reportedly nothing (Yahoo Finance).
But with the share price now at $20 (or whatever it is), we might quickly find out whether or not
wall street thinks about this companys prospects. And with only 5.9 Mil shares in the float, if they
decide they want some, it could get 'exciting' due to the low share count.

And at the same time, I can also see them selling more shares to raise even more cash if a demand
develops.
And I can even see a forward split occurring to make the shares affordable if the share price isn't hit hard..

To close, the only thing that has me a tad upset is the hit to the target price of the major ATM they did.
But otherwise, at this point, my reason for owning shares is still intact. Who knows, maybe I will end up
being surprised by what the share price does IF its approved.

And yeah, prepared for a rough ride for the next week or so till we find out what they are up to,
why they did a 1-100.

Well my broker does not allow OTC stock purchases anyways. That was when I had Scottrade.
Oh that is right. I have seen company stocks that have no debt, decent income do nothing but stay stagnant or go down, and others that have insane amounts of debt, and negative book value of their share price skyrocket for no good reason. Someone and their group behind the scenes knows full well the school of fish that swim in unison and buy up shares like no tomorrow BEFORE it occurs. These people know the flow as I say. Once that frenzy occurs, and the purchases are made - us blind retail fools jump in and then it's too late. All the insiders SELL and then the price drops and we are left holding the negative bags. Rinse and Repeat. Happened with AMC, NVDA, QUBT, RGTI recently. Just to name a few. Those in the know buy into a stock at its ground floor before the hype.

Some may argue, but I find that more Naz companies do more R/S than OTC. I think because its easier for them to do it and can execute the R/S unannounced if they want to. You hit the nail on the head with the clubs and or groups. the Clubs pay the MMs, the MMs pay the S.E.C. hush money. and around it goes. all in my opinion only.

But I have been in these stocks since 2006 and started with the OTC type. I no longer touch any of those non reporting pos. Now it seems the NASDAQ stocks are also rigged. Unless you know someone on the inside of this club or you are part of them, you will always lose. It's total BS that there are "fundamentals" and ways to judge good from bad. I don't believe any of that chit.

Strong support at these levels. Let's see if start moving up from here. Maybe AH will be awesome.

Now the question is, will they sell more post the split?? Given the number
you are reporting, even if they got just 20 cents/sh, that could be around
$75 Mil in proceeds/cash...

But as I told some acquaintances, a return of 3 to 4x is still not a bad return...

And post the split, IF the share price dips to less than 20 cents/pre-split??
I plan to add shares... IF once I get a read on the market cap calc/share count
there is still room to make a gain of at least 100% (mercy)

Glad I only bought 20 shares at .40 cents. EVERY stock I buy goes down the tubes ! And it's not "bad luck", it is done by a force that I do not know. I just can't win....
