Re: Class Sterling Hedged US Enhanced Income Preference Shares and Class B US Dollar Unhedged US Enhanced Income Preference Shares (together, the "Redeemable Preference Shares")

De-listing of Shares

The Board of Directors of the Company (the "Board") wish to announce that a proposal (the "Proposal") to bring the redemption date of the Redeemable Preference Shares forward from 3 September 2029 to 15 September 2014 (the "Redemption Date"), was put to the shareholders of the Company and the Cell on 6 August 2014.

If shareholders approve the Proposal, application will be made to the Channel Islands Securities Exchange Authority Limited to delist the Redeemable Preference Shares of the Cell from the Official List of the Exchange.
