Publication of Prospectus, Circular and Notice of General Meeting

Further to its announcement on 25 August 2022, Rockwood Strategic plc (AIM: RKW), announces that it has today published a Circular, including a notice convening a general meeting of the Company's Ordinary Shareholders, in connection with the admission of the Company's existing ordinary shares to listing on the premium segment of the Official List and to trading on the premium segment of the London Stock Exchange's Main Market ("Initial Admission") and the proposed implementation of a placing programme (the "Placing Programme"). The Company has also today published a Prospectus in connection with the Initial Admission and Placing Programme.

Further details of the Initial Admission and Placing Programme are set out in the Prospectus. A copy of the Prospectus will be submitted to the National Storage Mechanism and will shortly thereafter be available for inspection at: https://data.fca.org.uk/#/nsm/nationalstoragemechanism . A copy of the Prospectus and Circular will be available on the Company's website at https://www.rockwoodstrategic.co.uk/. Full details of the Terms and Conditions will be made available in the Prospectus.

The Company's ticker, ISIN, SEDOL and LEI remain unchanged.

Notice of GM

A notice convening a General Meeting of the Company is set out at the end of the Circular. The General Meeting has been convened for 10.00 a.m. on 22 September 2022 at the offices of BDB Pitmans LLP, One Bartholomew Close, London, EC1A 7BL..
