On 22nd January 2002, Lex QUEST Trustee Limited (a wholly owned subsidiary of
Lex Service PLC), the trustee of the Qualifying Employee Share Ownership Trust
established by deed on 29th November 2000 to facilitate the operation of the Lex
Sharesave Scheme ("the Scheme") subscribed for 5,828 Ordinary shares of nominal
value 25p each at a price of 487p

These shares were then transferred to participants in the Scheme on the same day
who had validly exercised options granted under the Scheme. The executive
directors of Lex Service PLC being potential beneficiaries of the QUEST were
deemed to have an interest in the 5,828 shares when Lex QUEST Trustee Limited
subscribed for the shares and ceased to have an interest in the shares when they
were transferred to participants.
