NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY ("PDMR") OR CONNECTED PERSONS

The Company was notified on 19 June 2012 that Markus Voigt, a PDMR, acquired 21,862 ordinary shares of 10p each in the Company on that day, following the exercise of nil cost options granted to him under the Hyder Consulting PLC 2006 Long Term Incentive Plan ("LTIP"). Following this transaction, Mr Voigt holds 21,862 ordinary shares in the Company representing 0.057% of the issued share capital.

The Company was notified on 19 June 2012 that Wael Allan, a PDMR, acquired 21,862 ordinary shares of 10p each in the Company on that day, following the exercise of nil cost options granted to him under the LTIP. The Company has been notified that 10,931 of these shares were sold today at 400.5p per share. Following these transactions, Mr Allan holds 10,931 ordinary shares in the Company representing 0.028% of the issued share capital.
