               RESULT OF AGM AND CHAIRMAN'S ADDITIONAL REMARKS


The Board of Henderson Morley plc is pleased to announce that at the Company's
Annual General Meeting held earlier today, all the resolutions were duly passed.

Chairman Andrew Knight commented: "We are continuing to seek potential
commercial partners for our in house technology ICVT.  Recently, we have
attended a number of licensing conferences and as a result, have stimulated a
significant amount of new interest in our technology.  I hope to be able to
bring you further news during the course of the year."
