                   Additional listing and dealings by directors



On the 14 December 2004 the Trustees of the Fenner PLC 1992 Employee Share
Ownership Plan Trust allocated a total of 158,612 new ordinary shares of 25
pence each in the Company ("New Ordinary Shares") under the Fenner PLC Long Term
Share Incentive Plan.  These shares had been previously reserved under a block
listing application for this purpose and were alloted on 15 December 2004.



Of the New Ordinary Shares, MS Abrahams and RJ Perry were allotted 38,598 and
25,047 New Ordinary Shares respectively. Following the sale yesterday by the
Trustees of 15,825 New Ordinary Shares  in respect of the allotment to Mr
Abrahams, at a price of 120.00p per share, in order to satisfy certain tax
obligations on the distribution, MS Abrahams is interested in a total of 22,773
New Ordinary Shares.  Mr RJ Perry has elected to settle his own tax liability
direct.  Messrs Abrahams and Perry are therefore interested in a total of
383,028 and 315,220 Ordinary Shares respectively, representing 0.35% and 0.29%
respectively of the Company's issued ordinary share capital as enlarged by the
issue of the New Ordinary Shares.



Provisional share awards have also been given to MS Abrahams and RJ Perry under
the Fenner PLC Long Term Share Incentive Plan in respect of the Eigth Plan
Cycle, which will run for a three year period commencing on 10 November 2004 and
ending on 9 November 2007.



The provisional awards are as follows:-



         MS Abrahams          151,962 provisional shares
         RJ Perry              95,584 provisional shares
