                   THE FENNER PLC LONG TERM SHARE INCENTIVE PLAN

given provisional share awards on 30th November, 1998 over the number of shares
set against their respective names under the provisions of the Fenner PLC Long
Term Share Incentive plan in respect of the Second Plan Cycle which will run for
