D1 Oils plc ("the Company") refers to the announcement regarding the acquisition
of shares in its subsidiary, D1 Oils South Africa (Pty) Limited, made on 18 July
2006. As a result, an additional 40,000 ordinary shares of 1p each have been
admitted to AIM today.


In terms of Rule 2.10 of the City Code on Takeover and Mergers, the Company
announces that it now has 31,641,730 Ordinary Shares of 1p each in issue. The
