                           Directors' Share Purchase


D1 Oils Plc ("the Company") has today received notification that Karl Watkin,
Chairman, purchased 1,900 ordinary shares in the Company on 25 January 2006 at a
price of 265 pence per share, which brings his total holding to 3,086,289
ordinary shares representing 9.88% of the issued ordinary share capital of the
Company.

Clive Morton, a Non-Executive Director, purchased 1,825 ordinary shares in the
Company on 25 January 2006 at a price of 268 pence per share, which brings his
total holding to 33,075 ordinary shares representing 0.11% of the issued
ordinary share capital of the Company.

Alex Worrall, a Non-Executive Director, purchased 3,800 ordinary shares in the
Company on 25 January 2006 at a price of 265 pence per share. Alex Worrall has
transferred a total of 1,900 ordinary shares to Peter John Davidson,
Non-Executive Director. This brings Alex Worrall's total holding to 1,080,443
ordinary shares representing 3.46% of the issued ordinary share capital of the
Company, and Peter Davidson's total holding to 95,650 ordinary shares
representing 0.31% of the issued ordinary share capital of the Company.
