Finally received my DIVI in both my TDAMERITRADE accounts and my FIDELITY account.

Monday will be a busy day for me reinvesting this money into the market.

Washington State Supreme Court ruled in favor of the company and company stated that the DIVI will be paid as soon as possible.
I am expecting it by Friday at the latest..

I expect there is so much resistance to this deal, it will be terminated. Too bad as Walmart is the real juggernaut..

$6.85 will be paid to the shareholders of record on the day before the ex-dividend date no matter what happens with the judge’s decision. The $6.85 was extracted from the share price so the shareholders of record are owed that.. If the judge stops payment, then the $6.85 is added back to the share price. If judge approves, then the $6.85 is paid out as a return of principle..

Did you see that the hearing now is delayed til 12/9/2022.

The DIVI hearing is being delayed for some reason that excapes me.

Is it to deny the merger, and see where the chips lie after that?

I took a look at them it's a lot of shares going out all the top executives.
They know everything going on with the sale and the divi.

Have you looked at all the FORM 4's that were filed for all the shares the board and executives will get with the $6.85 dividend?

This info will be turned over to the court as evidence that the board approved this dividend.

Following came from DOW JONES NEWSWIRE:

Judge Ken Schubert of the King County Superior Court in Washington requested a fuller hearing next week on a $4 billion dividend that Albertsons Cos. is seeking to pay its shareholders, announced when the grocer agreed to combine with Kroger Co.

The hearing is now scheduled to take place Nov. 17 with witnesses from Albertsons and Kroger, and the companies are expected to provide additional documents to Washington state officials, including minutes from board meetings relating to the dividend.

Last week, a state court commissioner temporarily blocked the dividend, which was initially scheduled for Nov. 7. The temporary restraining order is now extended until Nov. 17.

The largest and the second-largest supermarket chains agreed to combine in a $20 billion deal in October.


It appears that the Judge wants a full scale reporting by both companies.

Expect selling pressure on the stock after the distribution..

Selling already happened when the PPS went from $27 to the current $20-22 range.

KROGER's offer of $34.10 per share will be dropped to $27.25 to offset the SPECIAL DIVI as ALBERTSONS is calling it.

It may be a non-divi as you pointed out but until I hear more from tne company I will treat it as a SPECIAL DIVI.

Other companies do the same and it is treated as a SPECIAL DIVI.

Only time will determine what it is.

EDIT: DO NOT FORGET ABOUT THE SPINOFF SHARES THAT WILL OCCUR AFTER KROGER SCOOPS UP OUR SHARES AT WHAT FINAL PRICE, THAT IS TO BE DETERMINED AT A LATER DATE WHEN REGULATORS DETERMINE WHICH STORES NEED TO BE EXCLUDED IN THE BUYOUT.

It is a distribution so you pay tax on this as income not as a dividend..

That is ONLY TRUE if you have your shares in a taxable account.

If yours are in a ROTH or an IRA they remain either non-taxed or taxed when you remove the money from your account.

That is where my shares reside.

Hearing is on 11/10/2022 in which Albertsons is going to argue that the DIVI was voted on by the BOARD OF DIRECTORS prior to the merger with KROGER.

Their statement is that the company is returning value to its investors regardless if the merger goes thru or not, and the company is on good footing financial ground even after the 4 BILLION is returned to its investors.

This could be a way of enticing more investors as the PPS will be around the $20-22 range.

If the merger goes thru the amount of money that will return to its investors is something like this: $34.10 minus the $6.85 minus the amount for the SPIN OFF shares($4-5) gives $23.25 or $22.25 that KROGER will pay the holders of ACI.

EDIT: ALSO DO NOT FORGET THE VALUE OF THE SPIN OFF COMPANY IN THIS TRANSACTION

We now just sit it out and watch the PPS hopefully rise.

I sent an e-mail to the IR DEPT and asked the following questions:

As a shareholder I have the following questions I am hoping you can answer.

1. Is there a date set for Kroger to submit payment?

2. Is the final payment number known IE ($34.10 minus the $6.85 special divi minus the value of the spin off company)?

3. Is the spin off shares in a one for one ratio with the number of ACI shares I hold?

4. Will the spin off company trade on the NYSE?

5. Will the spin off shares have a trading restriction? And if so for how long?

Will post here if I get a response from IR.
