Inc. (TSXV: LME) (OTCPINK: LMEFF) ("LAURION" or the
"Corporation") is pleased to announce the voting results
of the Annual and Special Meeting of Shareholders of the
Corporation that was held on September 28,
2022 (the "Meeting").
Election of Directors
Each of the nominees for election as directors listed in the
Corporation's management information circular dated
August 19, 2022 (the
"Circular") were elected as directors of the
Corporation for the ensuing year or until their successors are
elected or appointed.
Other Items of Business Considered
at the Meeting
Each of the following resolutions voted on at the Meeting were
also passed:
- The reappointment of RSM LLP as auditors of the Corporation for
the ensuing year and the authorization of the directors of the
Corporation to fix their remuneration and the terms of their
engagement.
- A resolution ratifying, confirming and approving the renewal of
the Corporation's rolling stock option plan (the "SOP"), as
such plan and such resolution are set forth in the Circular.
Specifically, disinterested shareholders approved certain
amendments to the SOP, which was updated to be in compliance with
TSX Venture Exchange Policy 4.4 – Security Based
Compensation. The SOP is a "rolling" plan pursuant to which the
aggregate number of shares to be issued under the SOP shall not
exceed 10% of the Corporation's issued and outstanding shares. For
further information with respect to the amendments to the SOP,
please see the Circular. The SOP remains subject to final TSX
Venture Exchange approval.

Corporation's Board of Directors and management continue to work

development of revenue streams, hosted within the orogenic and gold
/ polymetallic veins.
