Item 7.01. Regulation FD Disclosure.

On September 12, 2019, Pebblebrook Hotel Trust (the “Company”) issued a press release announcing that it has completed the sale of the 137-room Rouge Hotel located in Washington, D.C. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is hereby incorporated by reference herein.

Item 8.01. Other Events.

On September 12, 2019, subsidiaries of the Company completed the sale of Rouge Hotel to an unaffiliated third party for a sales price of $42.0 million. Net proceeds from the sale of Rouge Hotel will be utilized for general business purposes, which may include reducing the Company’s outstanding debt.
