Explanation of Responses:
( 1)  The equivalent shares were cancelled pursuant to the terms of the agreement and plan of merger among the issuer, Ricoh Company, Ltd. and Keystone Acquisition, Inc. in exchange for a cash payment equal to $17.25 per equivalent share.
( 2)  The deferred stock units ("DSUs") were cancelled pursuant to the terms of the agreement and plan of merger among the issuer, Ricoh Company, Ltd. and Keystone Acquisition, Inc. in exchange for a cash payment equal to $17.25 per unit.
( 3)  This option was cancelled pursuant to the terms of the agreement and plan of merger among the issuer, Ricoh Company, Ltd. and Keystone Acquisition, Inc. in exchange for a cash payment equal to the difference between the exercise price of the option and $17.25 per share multiplied by the number of shares subject to the option.
