Item 8.01. Other Events

On September 27, 2024, Valuence Merger Corp. I (the “Company”) caused to be deposited an additional $28,011 into the Company’s trust account in connection with the approval by the Company’s board of directors (the “Board”) of an extension of the date by which the Company has to consummate an initial business combination by an additional month, from October 3, 2024 to November 3, 2024, the third of 19 potential one-month extensions available to the Company. As previously disclosed, the Company’s Amended and Restated Memorandum and Articles of Association, as amended, provides the Company the right to extend such date, monthly, to up to March 3, 2026, by resolution of the Board.
