Directors Dealing & Exercise of Options

William Sinclair, one of the UK's leading suppliers of growing media, announces that the Company is informed that Mr. Rupert King, a director of the Company, has purchased both warrants and convertible loan notes previously issued by the Company. He has acquired warrants over 6,875 Ordinary Shares of 25 pence in the capital of the Company ("Shares") at a price of 80 pence per Share. He has also acquired GBP10,000 of loan notes giving conditional rights to subscribe for up to 10,598 Shares at a price of 159 pence per Share.

As a result of these transactions, Mr. King is interested in 97,500 Shares, representing approximately 0.6 per cent. of the issued share capital of the Company, and warrants and subscription rights for up to 1,327,934 Shares.

The Company further announces that it has today issued 103,000 new Ordinary Shares of 25 pence in the capital of the Company ("Shares") (the "New Shares") in satisfaction of employee share options. Application has been made for the New Shares to be admitted to trading on AIM, which is expected to occur on 11 August 2014.

Following issue of the New Shares, the Company has a total of 17,377,420 Shares in issue. The Company holds zero shares in treasury. Therefore the total number of Ordinary Shares with voting rights is 17,377,420. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
