The issuer has made the following alteration to the
PROPERTY ASSET HOLDINGS PLC - DIRECTORS SHAREHOLDING
announcement released today.

This announcement amends the earlier release of today as Mr T James ceased to
be a director with effect from 10 August 1998.

Notification of Shareholding

Pursuant to Section 198 of the Companies Act 1985, Mr Timothy James (a
shareholder) has notified the purchase of 5,000,000 ordinary shares in
Property Asset Holdings at 0.016p per share.  These were acquired on 24
November 1998.

This now represents a total holding by Mr T James of 8,872,725 ordinary shares
(6.5% of the issued share capital).

The company was informed on 24 November 1998.
