ACQUISITION OF WEATHERED HOWE


Weathered Howe Pty Limited is an engineering consultancy firm based in
Queensland, Australia offering civil and building engineering consultancy,
environmental infrastructure services and tourism, leisure and events management
services. The initial consideration for the acquisition, payable on completion,
is approximately #1.6 million, with up to a further #0.4 million payable after 1
year, subject to the profitability for the year ending 30 June 2005. Up to a
further #1.0 million is payable in the equivalent value of Hyder Consulting Plc
shares at the end of a three year incentive period dependent on profit
performance over the three years. The company employs a team of around 100 staff
with turnover for the year to 30 June 2004 of approximately #3.5 million.
Profits before interest and tax were approximately #0.2 million in 2004,
although they are expected to be significantly higher in the year to 30 June
2005. It is expected that there will be minimal net assets acquired following
dividend payments to the current shareholders. This acquisition will further
strengthen Hyder Consulting's existing Australian business and will provide
access to a new public and private sector client base in Queensland. The State
has one of the highest growth rates in Australia and while Hyder currently has a
very small office in Queensland it is effectively an additional territory for
Hyder, which has significant existing offices in New South Wales and Victoria.
