                  #10m Placing and Open Offer approved at EGM

Hyder Consulting Plc ("the Company") announces that the Special Resolution,
relating to the implementation of the Firm Placing and Placing and Open Offer of
shares at 184 pence announced on 4 February 2005, proposed at the Extraordinary
General Meeting of the Company held yesterday was duly passed.

The Company also announces that in connection with the Open Offer applications
were received for a total of 1,023,324 new ordinary shares.  Excluding the
949,907 new ordinary shares which were the subject of the Open Offer but which
Management irrevocably undertook not to take up, and which were Placed Firm,
this represents approximately 68.4% of the new ordinary shares which were
available under the Open Offer.  The balance of 471,993 new ordinary shares
which were not applied for under the Open Offer will be taken up by
institutional and other investors in addition to the 2,989,559 shares which were
Placed Firm.  Dealings are expected to commence in the new ordinary shares on
the Official List on 8 March 2005.
