  Fenner to dispose of its 50% Joint Venture Holding in KSB Pumps South Africa

Fenner, via its wholly owned subsidiary, Fenner (South Africa) (PTY) Limited,
has today agreed to dispose of its 50% holding in KSB Pumps (S.A.) (Pty) Limited
("KSB Pumps") via a share buy back arrangement with KSB Pumps. Once the share
buy back is completed, KSB Finanz S.A. ("KSB") will become the 100% owner of KSB
Pumps.

Fenner entered into the JV arrangement with KSB in April 1987 via a Shareholders
Agreement. KSB Pumps manufacture centrifugal and specialist pumps serving the
water handling market, principally irrigation, drainage and maintenance of
ground water levels in mines. KSB Pumps also manufacture pumps for the process
engineering market covering petrochemical and environmental engineering
applications.

Both Fenner and KSB Pumps have recognised the need to address broad based Black
Economic Empowerment ("BEE") in South Africa. In recognition of this need and to
avoid dilution of its shareholding below 50%, Fenner has decided to realise its
investment in KSB Pumps. This will be achieved via a share buyback in which KSB
Pumps will acquire and cancel the Fenner held shares for an aggregate value to
Fenner of South African Rand 82.5 million (approximately #6 million).

Mark Abrahams, CEO of Fenner said "We have had a long and successful partnership
arrangement with KSB over the years but this represents an opportunity for
Fenner to secure a good exit price for this non core business and enable KSB to
develop KSB Pumps in the new BEE environment."

Fenner is the world leader in the global conveyor belting market. Its products
include lightweight and heavyweight conveyor belting for the mining and power
generation markets, precision motion control products for the computer, copier
and mechanical equipment markets, and sealing products for the mining,
hydraulics and oil and gas industries.
