In  conformity  with  the  Transparency  Directive's  transitional provision 6, 
Downing Planned Exit VCT 2 plc announces the following: 
 
The  Company's capital at 30 April 2010 consists of 9,994,968 Ordinary shares of 
1p each,  7,166,806 C  shares  of  0.1p each,  10,000,000 D shares of 0.1p each, 
10,754,329 A  shares 0.1p each (which are non-voting) and 15,000,000 E shares of 
0.1p each  (which  are  non-voting).   The  Company  does not hold any shares in 
treasury. 
 
Therefore the total number of voting rights in Downing Planned Exit VCT 2 plc is 
27,161,774. 
 
The  above  figure  may  be  used  by  shareholders  as  the denominator for the 
calculations  by which they will determine if  they are required to notify their 
interest  in, or a change  to their interest in,  Downing Planned Exit VCT 2 plc 
under the FSA's Disclosure and Transparency Rules.
