                            Director's Shareholding


D1 Oils plc ("the Company") has today received notification that Karl Watkin,
Chairman, transferred 200,000 ordinary shares in the Company on 4 April 2006 for
nil consideration to the Community Foundation serving Tyne & Wear and
Northumberland. The Community Foundation is a registered charity that provides a
service to individuals, families and companies who want to help the local
community.


Mr Watkin's total shareholding is now 2,886,289 ordinary shares representing
9.24% of the issued ordinary share capital of the Company.
