Replacement - VOTING RIGHTS AND CAPITAL

The following replaces the Voting Rights and Capital announcement released 29 August 2008 at 17:29. The previous announcement referred
to the total number of voting rights in the company being 27,433,890. The correct figure should have been 27,433,630.

The full corrected version of the announcement appears below.

In conformity with the Transparency Directive's provisions we would like to notify the market of the following:

Close Second AIM VCT plc's capital as at 29 August 2008 consists of 7,669,349 Ordinary shares, 8,214,295 'C' shares and 12,026,498 'D'
Ordinary shares with a nominal value of 5p each, with voting rights. Close Second AIM VCT plc holds 401,512 Ordinary shares in Treasury and
75,000 'C' shares in Treasury.

Therefore, the total number of voting rights in Close Second AIM VCT plc is 27,433,630 (the 'Figure').

The Figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to
notify their interest in, or a change to their interest in, Close Second AIM VCT plc under the FSA's Disclosure and Transparency Rules.
