Issue of Ordinary Shares

CES Software Plc ("the Company") has today applied for 190,170 Ordinary Shares
of 5 pence each in the Company to be admitted to trading on the Alternative
Investment Market of the London Stock Exchange ("AIM"). These shares will also
be listed on the Toronto Stock Exchange.

The shares have been issued by the Company at a price of 68 pence per share on
the exercise by Canaccord Capital (Europe) Limited of warrants issued to it at
the time of the Company's flotation on AIM in December 2003.
