                         Cardpoint plc ("the Company")

                             Director Shareholding


On 28 March 2006 the board of directors of the Company approved and adopted the
Cardpoint plc Share Incentive Plan (an all employee share purchase plan approved
by Her Majesty's Revenue and Customs) (the "SIP").


On 28 April 2006 as a result of the allotment of 91,110 Ordinary Shares to the
Cardpoint plc UK Employee Benefit Trust, pursuant to the SIP, Mark Mills, Robin
Gregson and Chris Hanson, directors of the Company, as directors of Cardpoint
Trustees Limited, the trustee of the SIP, acquired a notifiable interest in
91,110 Ordinary Shares in the capital of the Company.


The following executive directors of the Company have the interests set out
below as a result of their personal participation in the SIP:-

In accordance with the rules of the SIP participants are awarded Matching Shares
on the basis of one Matching Share for each Partnership Share. The beneficial
ownership of the Matching Shares will pass to Mark Mills, Robin Gregson and
Chris Hanson in three years time subject to continued employment and the
retention of the underlying Partnership Shares.
