(the "2006-1 Series 4 Class C Noteholders" and the "2006-1
Series 4 Class C Notes" respectively)
each convened on 22 June 2011
at
the offices of Allen & Overy LLP, One Bishops Square, London
E1 6AD.
Results of the First Meeting
NOTICE IS HEREBY GIVEN to the Existing Class A Noteholders that,
at the First Meeting, the First Extraordinary Resolution (as
defined in the Notice) set out in such Notice was duly passed.
Accordingly, but subject to the passing of (i) the First
Extraordinary Resolution by the Existing Class B Noteholders and
the Existing Class C Noteholders at separate adjourned meetings of
each of the Existing Class B Noteholders and the Existing Class C
Noteholders and (ii) an extraordinary resolution which is
substantially similar to the First Extraordinary Resolution (the
Permanent 6 Extraordinary Resolution) by the holders of the Series
5 Class B Residential Mortgage Backed Notes due 2042 (ISIN
XS0205327777) issued by Permanent Financing (No. 6) PLC (the
Permanent 6 Class B Noteholders) at an adjourned meeting of the
Permanent 6 Class B Noteholders, or the other conditions set out in
the First Extraordinary Resolution being fulfilled, the
modifications referred to in the First Extraordinary Resolution
will be implemented with effect on and from 15 July, 2011.
The First Extraordinary Resolution was not passed at the Second
Meeting by the Existing Class B Noteholders and at the Third
Meeting by the Existing Class C Noteholders as a quorum requirement
(which required a particular aggregate Principal Amount Outstanding
of such Notes then outstanding to be held or represented at such
Meetings) was not met at the Second Meeting and the Third Meeting
(respectively). At any adjournment of such Meetings, the quorum
required shall be only two or more persons being or representing
relevant Noteholders, whatever the aggregate Principal Amount
Outstanding of such Notes then outstanding so held or represented.
The relevant adjourned Meetings are due to be held on 7 July
2011.
The Permanent 6 Extraordinary Resolution was not passed at a
meeting of the Permanent 6 Class B Noteholders (the Permanent 6
Meeting) as a quorum requirement (which required a particular
aggregate Principal Amount Outstanding of such Notes to be held or
represented at such Meeting) was not met at the Permanent 6
Meeting. At any adjournment of the Permanent 6 Meeting, the quorum
required shall be only two or more persons being or representing
relevant Noteholders, whatever the aggregate Principal Amount
Outstanding of such Notes so held or represented. The adjourned
Permanent 6 Meeting is due to be held on 7 July 2011.
Results of the Second Meeting and the Third Meeting
NOTICE IS HEREBY GIVEN to the Existing Class B Noteholders and
the Existing Class C Noteholders that, at separate meetings of the
Existing Class B Noteholders and the Existing Class C Noteholders,
the First Extraordinary Resolution (as defined in the Notice) set
out in such Notice was not passed.
The First Extraordinary Resolution was not passed at the Second
Meeting by the Existing Class B Noteholders and at the Third
Meeting by the Existing Class C Noteholders as a quorum requirement
(which required a particular aggregate Principal Amount Outstanding
of such Notes then outstanding to be held or represented at such
Meetings) was not met at the Second Meeting and the Third Meeting
(respectively). At any adjournment of such Meetings, the quorum
required shall be only two or more persons being or representing
relevant Noteholders, whatever the aggregate Principal Amount
Outstanding of such Notes then outstanding so held or represented.
The relevant adjourned Meetings are due to be held on 7 July 2011
and the Existing Class B Noteholders and the Existing Class C
Noteholders should consider the Notice of Adjourned Meetings issued
by the Master Issuer on the date hereof for further details.
Results of the Fourth Meeting, Fifth Meeting and the Sixth
Meeting
NOTICE IS HEREBY GIVEN to the 2009-1 Class A Noteholders, the
2010-1 Class A Noteholders and the 2010-2 Class A Noteholders that,
at separate meetings of each of the 2009-1 Class A Noteholders, the
2010-1 Class A Noteholders and the 2010-2 Class A Noteholders, the
Second Extraordinary Resolution (as defined in the Notice) set out
in such Notice was duly passed.
Accordingly, but subject to the passing of (i) the First
Extraordinary Resolution by the Existing Class B Noteholder and the
Existing Class C Noteholders at separate adjourned meetings of each
of the Existing Class B Noteholders and the Existing Class C
Noteholders and (ii) the Permanent 6 Extraordinary Resolution by

A Noteholders and the 2007-1 Series 4 Class A Noteholders, the
Third Extraordinary Resolution (as defined in the Notice) set out
in such Notice was duly passed.

The Third Extraordinary Resolution was not passed at the Ninth
Meeting by the 2007-1 Series 3 Class A Noteholders as a quorum
requirement (which required a particular aggregate Principal Amount
Outstanding of such Notes then outstanding to be held or
represented at such Meeting) was not met. At any adjournment of
such Meeting, the quorum required shall be only two or more persons
being or representing relevant Noteholders, whatever the aggregate
Principal Amount Outstanding of such Notes then outstanding so held
or represented. The relevant adjourned Meeting is due to be held on
7 July 2011 and the 2007-1 Series 3 Class A Noteholders should
consider the Notice of Adjourned Meetings issued by the Master
Issuer on the date hereof for further details.
Results of the Eleventh Meeting
NOTICE IS HEREBY GIVEN to the 2006-1 Series 4 Class B
Noteholders that, at the Eleventh Meeting, the Third Extraordinary
Resolution (as defined in the Notice) set out in such Notice was
not passed.
The Third Extraordinary Resolution was not passed at the
Eleventh Meeting by the 2006-1 Series 4 Class B Noteholders as a
quorum requirement (which required a particular aggregate Principal
Amount Outstanding of such Notes then outstanding to be held or
represented at such Meeting) was not met. At any adjournment of
such Meeting, the quorum required shall be only two or more persons
being or representing relevant Noteholders, whatever the aggregate
Principal Amount Outstanding of such Notes then outstanding so held
or represented. The relevant adjourned Meeting is due to be held on
7 July 2011 and the 2006-1 Series 4 Class B Noteholders should
consider the Notice of Adjourned Meetings issued by the Master
Issuer on the date hereof for further details.
Results of the Twelfth Meeting
NOTICE IS HEREBY GIVEN to the 2006-1 Series 4 Class C
Noteholders that, at the Twelfth Meeting, the Third Extraordinary
Resolution (as defined in the Notice) set out in such Notice was
not passed.
The Third Extraordinary Resolution was not passed at the Twelfth
Meeting by the 2006-1 Series 4 Class C Noteholders as a quorum
requirement (which required a particular aggregate Principal Amount
Outstanding of such Notes then outstanding to be held or
represented at such Meeting) was not met. At any adjournment of
such Meeting, the quorum required shall be only two or more persons
being or representing relevant Noteholders, whatever the aggregate
Principal Amount Outstanding of such Notes then outstanding so held
or represented. The relevant adjourned Meeting is due to be held on
7 July 2011 and the 2006-1 Series 4 Class C Noteholders should
consider the Notice of Adjourned Meetings issued by the Master
