                    Victory Corporation Plc ("the Company")

                    Result of AGM and EGM and trading update


At the AGM of the Company held this morning, all resolutions were approved. At
the EGM of the Company that followed, a special resolution was also passed. In
accordance with this special resolution, subject to confirmation of the Court,
the share premium of the Company is to be reduced in order that the Company is
better placed to pay dividends or make other distributions in the future.

At the meeting, commenting on trading for the first 26 weeks of this financial
year, Chairman, John Jackson, said "sales are in line with expectations, with
sales through our Direct channel increasing by 34%, whilst like-for-like sales
in our 22 retail stores have increased by 8.6% compared with the same period
last year."
