It's been a year since last post. A lot has happened..
and it has NOT been good for the stock owners.

Another 6 month high today. Earnings out on Monday. This could really turn some heads on 2018.

bought Jan. 18 2019 call options, could end up being my best play ever.

Rambus Inc. (Nasdaq: RMBS) announced it has successfully completed the acquisition of the assets of Semtech’s Snowbush IP. The closing purchase price totaled $32 million, including additional payments based upon specific new product sales through the end of 2022.

As announced in June, Rambus plans to integrate the Snowbush IP assets into its Memory and Interfaces Division to bolster its SerDes and IP offerings, addressing critical needs of the server, networking and data center market.

When insiders are selling, usually something wrong.

Rambus sees Q1 2016 revenue of $71-75 million, versus the consensus of $73.0 million.

Rambus sees FY2016 revenue of $310-325 million, versus the consensus of $294.1 million.

AMD extends license agreement

AMD Extends Patent License Agreement with Rambus

Agreement extended for a third five-year term

Rambus Inc. (NASDAQ:RMBS) today announced that it has extended its patent license agreement with Advanced Micro Devices, Inc. (NASDAQ:AMD). Under the terms of the agreement, AMD will continue to be licensed for its integrated circuit and circuit board products for an additional five years. Specific terms of the agreement are confidential.

“We are pleased to have reached agreement with AMD for this extension,” said Luc Seraphin, senior vice president and general manager of the Memory and Interfaces division at Rambus. “This extension represents the third continuous agreement we’ve signed with AMD, which showcases the continued value our IP provides to the industry.”

Rambus develops enhanced, industry-compliant chipsets, custom memory and serial link technologies, and services to address power, performance, and capacity challenges for the mobile, connected device, and Big Data cloud computing markets. NEW YORK (AP) -- Shares of Rambus lost more than quarter of their value Tuesday after the memory chip designer said technical issues with one of its chips and the loss of potential deals will weigh on its revenue in the fourth-quarter and next year.

CEO Ronald Black said that a large licensing and partnership agreement that Rambus was negotiating in its security business had "stalled." Some smaller deals didn't materialize because of economic conditions in the chip industry, he said in a conference call following the release of the company's third-quarter results late Monday.

The company may also lose a potential customer because of a recently discovered technical issue with a memory chip, he said.

For the fourth quarter, Rambus expects revenue in the range of $71 million to $77 million. Analysts had expected revenue of $83.4 million, according to FactSet.

That means it expects revenue between $291 million and $297 million for the full year. That's below the $305.5 million analysts expected.

For 2016, Rambus expects revenue to be flat from 2015.

To save costs, the Sunnyvale, California, company said it would cut about 8 percent of its 527 employees. Rambus said it will complete the job cuts by the first quarter of next year.

Shares of Rambus Inc. fell $3.74, or 27 percent, to $10.14 in afternoon trading Tuesday.

Ryland, which is up 1.5% after hours, is getting acquired by Standard Pacific (NYSE:SPF) in a deal expected to close on that date. Standard Pacific -- which is changing its name to CalAtlantic Group -- is leaving the SmallCap 600 along with Ryland, to join the S&P MidCap 400.

Rambus Inc. RMBS reported first quarter of 2015 adjusted earnings per share (including stock-based compensation but excluding all one-time items) of 12 cents, which beat the Zacks Consensus Estimate of 7 cents. However, adjusted earnings were down from 16 cents reported in the year-ago quarter.


Quarter Details

Revenues came in at $72.9 million, which not only decreased 6.9% on a year over year basis but also roughly came in line with the Zacks Consensus Estimate of $73 million. Reported revenues were toward the lower end of management’s guided range of $70 million to $75 million. The year-over-year drop was primarily due to lower-than-expected royalty revenues, partially offset by new licensing agreements with International Business Machines Corporation IBM.

The company reported revenues from Memory and Interfaces Division (MID), Cryptography Research (CRI) and Lighting and display technology (LDT) divisions of $54.7 million (down 10.6% year over year), $12.8 million (down 0.8% year over year) and $5.4 million (up 28.6 % year over year), respectively.

Adjusted operating expenses (including stock-based compensation but excluding all one-time items) in the first quarter were $48.7 million, up 4% from the year-ago quarter, primarily due to higher cost of sales. Operating expenses, as a percentage of revenues, also increased from 59.8% to 66.8% on a year over year basis.

This in turn impacted operating results. Adjusted operating income came in at $24.2 million compared with $31.5 million in the year-ago quarter. Operating margin was 33.2% compared with 40.2% reported in the year-ago quarter.

Rambus’ adjusted net income during the quarter came in at 16.3 million. Adjusted net income excludes amortization, restructuring charges, acquisition costs and other one-time items but includes stock-based compensation expenses calculated on a proportionate tax basis.

On a GAAP basis, net income was $14.9 million, which improved from $13.6 million reported in the year-ago quarter.

Rambus exited the quarter with cash, cash equivalents and marketable securities of approximately $317.8 million, up from $300 million in the prior quarter. During the quarter, the company generated cash from operations of $15 million.

Guidance

The company expects second-quarter revenues to range between $70 million and $74 million (mid-point $72 million), lower than the Zacks Consensus Estimate of $73 million at its mid-point. Moreover, the company expects pro-forma operating expenses to be between $46 million and $49 million. Pro-forma net income is expected in the range of $13 million to $17 million.

The company reiterated its 2015 outlook. For 2015, the company expects revenues to be between $300 million and $315 million. The Zacks Consensus Estimate is pegged at $304 million. Moreover, the company expects pro-forma operating expenses between $185 million and $190 million while pro-forma net income is expected in the range of $67 million to $79 million.

Our Take

Rambus reported modest first-quarter results with the bottom line surpassing the Zacks Consensus Estimate but the top line matching the same. However, year-over-year revenue comparisons were unfavorable primarily due to lower royalty revenues. Further, the company provided a tepid second quarter revenue guidance due to lower deal signings.

Nonetheless, with the rising popularity of energy-efficient lighting, LED products in the latest architectural, retail, commercial and residential lighting fixtures, we find Rambus in a favorable position to capitalize on this opportunity.

Rambus is going through a restructuring phase and we expect it to yield favorable results in the coming quarters. Additionally, licensing agreements — the result of successful monetization of Rambus’ patents — remain a recurring revenue source.

The company’s investments in the CryptoManager platform and certain memory and interface technologies can impact margins in the near term. Other companies in the same space include Semiconductor Manufacturing International Corp. SMI and Advanced Micro Devices AMD.

Currently, Rambus holds a Zacks Rank #2 (Buy).

NEW YORK (TheStreet) -- Shares of Rambus Inc. (RMBS - Get Report) are lower by 0.55% to $12.70 in after-hours trading on Monday afternoon. The company released its fiscal 2015 first quarter earnings results, which came in above analysts' forecasts for the period.

For the most recent quarter the technology solutions company said its non-GAAP net earnings were 14 cents per diluted share on revenue of $72.9 million.

Analysts were expecting earnings of 6 cents per share on revenue of $72.88 million for the quarter ended March 2015.

Last year, the company said non-GAAP earnings were 17 cents per share on revenue of $78.3 million for the 2014 first quarter.

Rambus issued revenue guidance for the 2015 second quarter and is expecting between $70 million and $74 million. Analysts are anticipating revenue of $75.10 million.

Separately, TheStreet Ratings team rates RAMBUS INC as a Buy with a ratings score of B-. TheStreet Ratings Team has this to say about their recommendation:

"We rate RAMBUS INC (RMBS) a BUY. This is driven by a few notable strengths, which we believe should have a greater impact than any weaknesses, and should give investors a better performance opportunity than most stocks we cover. The company's strengths can be seen in multiple areas, such as its impressive record of earnings per share growth, compelling growth in net income, largely solid financial position with reasonable debt levels by most measures, good cash flow from operations and increase in stock price during the past year. We feel these strengths outweigh the fact that the company shows low profit margins."

SUNNYVALE, Calif. (AP) _ Rambus Inc. (RMBS) on Monday reported first-quarter net income of $9.5 million.

The Sunnyvale, California-based company said it had profit of 8 cents per share. Earnings, adjusted for one-time gains and costs, came to 14 cents per share.

The memory chip designer posted revenue of $72.9 million in the period.

For the current quarter ending in June, Rambus said it expects revenue in the range of $70 million to $74 million. Analysts surveyed by Zacks had expected revenue of $73.1 million.

Rambus shares have climbed 15 percent since the beginning of the year. In the final minutes of trading on Monday, shares hit $12.72, a climb of slightly more than 3 percent in the last 12 months.

Rambus has marched higher for months, and traders are looking for more gains in the chip-design company.

optionMONSTER's Heat Seeker system showed that nearly 6,000 August 15 calls were purchased for $0.34 to $0.50 yesterday. This is clearly fresh buying, as open interest in the strike was just 343 contracts before the session began.

These long calls lock in the price where the stock can be purchased through mid-August no matter how far it might climb. They could be sold earlier at a profit if premiums rise with a rally before then, providing potentially significant leverage, but the contracts will expire worthless if shares remain below $15. RMBS climbed 2.63 percent to $12.90 yesterday. The stock rebounded sharply after falling to $10 in mid-January, the same level where it bounced in October. Management has not announced the date of its next earnings report, but last year's calendar suggests that results will come out later this month.

Yesterday's overall option volume in Rambus was 27 times its daily average for the last month. Calls accounting for a bullish 96 percent of the total.

The Rambus LSS technology represents a fundamentally new approach to sensing that shifts the function of traditional optics to computation, eliminating the need for expensive lenses. By replacing traditional sensor refraction optics with lensless diffraction and computation, LSS technology enables ultra-miniature form-factor and low-power design, ideal for a wide range of Internet of Things (IoT) applications.

The Rambus lensless smart sensor technology consists of spiral grating diffractive optics and computational algorithms that enable reduced computation times and superior design flexibility, delivering more data and improved accuracy versus current sensors comparable in size, power and cost. The combination of spiral grating diffractive optics and computational algorithms provide high fidelity output for greater accuracy and more sophisticated capabilities in the areas of gesture recognition, depth and range tracking, point finding and advanced object recognition.

Through the collaboration with Samsung, Rambus has achieved a robust, production-ready R+ DDR4/3 PHY on the power-performance optimized 28nm Low Power Plus (LPP) process. The Rambus design has been characterized at a system level, and can be easily integrated into a SoC.

Rambus Announces New Stock Repurchase Program


Board of directors authorizes repurchase of up to 20 million shares

SUNNYVALE, Calif.--(BUSINESS WIRE)--

Rambus Inc. (RMBS) today announced that its board of directors has approved a new share repurchase program authorizing the repurchase of up to 20 million shares.

“As we continue to execute on our strategic programs, we remain confident in our long-term prospects,” said Dr. Ron Black, president and chief executive officer at Rambus. “Under this new repurchase program, we will buy back shares opportunistically and strategically while maintaining our commitment of delivering shareholder value.”

Share repurchases under the plan may be made through the open market, established plans or privately negotiated transactions in accordance with all applicable securities laws, rules, and regulations. There is no expiration date applicable to the plan.

This new stock repurchase program replaces the existing program and cancels the 5.2 million shares outstanding as part of the previous authorization.
