Powerstorm Holdings Inc. Announces Strategic Anchor Investment Agreements and Luxembourg RAIF Capital Formation Platform Plans

Company Discloses Executed Agreements with European Renewable Energy Developer

Wilmington, Delaware – February 10, 2026 – Powerstorm Holdings Inc. (“Powerstorm” or the “Company”) (OTC: PSTO) today announced the execution of definitive agreements with NOTUS Luxemburg Holding S.à r.l. (“NOTUS”), an affiliate of a European renewable energy developer with a 3.5+ GW global portfolio across 18 countries. The agreements designate NOTUS as the Company’s strategic anchor investor, subject to completion of funding, for the Company’s Luxembourg RAIF capital formation platform architecture.

Under a Share Subscription Agreement executed on September 30, 2025, NOTUS committed to invest $1.5 million through the purchase of 5,000,000 restricted common shares of Powerstorm at $0.30 per share.

Concurrently, the Company granted NOTUS 1,000,000 four-year warrants with a fixed exercise price of $0.75 per share.

I'm trying to learn and use Thinkorswim which I have never really liked despite all of the accolades. It lists my cost basis as "trade price" in my portfolio. I thought that was the close for the day. I can't make heads or tails of the platform really and I don't think I'm the problem.

I truly hope you get out at 0.20. Don't worry about the big move. In my experience, I have left more money on the table waiting for the big move rather than taking a profit and getting my capital back.

much of the trading activity year to year has died down notice after halfway through 2021.

Well I am stuck no matter what and I continue to average down in small doses. I expect we will get another run. It may take years and I want to be way down low.

Amazing how quiet they continue to be. Wonder if they are waiting on a better economy before moving forward with something.

That was just my uninformed theory there. I don't want to come of as being authoritative on this stuff or having real experience. It costs money to maintain a publicly traded company and this one has a decent share structure. Something will happen here.

She demerged two of their earlier aquisitions. It will be interested to see what financials look like when they come out. I have no choice but to hang on in this.

Filled on .03s today. The point of having a shell like this is to acquire technologies, patents and other businesses using share warrants and other devices. Those assets build value into the shell which itself is then acquired. This seems to be very much at the forefront of what this CEO is doing.

Honda, those share figures are wrong. The company had to amend the 8-k to reflect the correct share count. They made an idiotic clerical error, which tanked the stock. If you go to OTCmarkets, you will see that total shares outstanding are actually only 26.5 million.

Wow! PSTG, 566 M shares issued! On March 23, 2022, 25,000,000 shares were issued to Stay True LLC, PSTO’s majority shareholder, representing
Part 1 (one) of the payment due by PSTO, related to the acquisition of Infinity Supply BV, made on December 1, 2021.
The purchase price was $1,132,531.00 USD, equivalent to €1,001,000.00 EURO, as per the European Central Bank
exchange ratio on Dec.01, 2021 of €1 EURO = $1.1314 USD. This was executed as a Convertible Promissory Note, with
the entire principal being converted into shares of PSTO at a value representing $0.002 USD per share. The total amount
of shares to be issued to the seller was 566,265,700 restricted common shares.

Solid buying today. Very little resistance until .10. This stock was over .40 a year or so ago.
