$ORGH OrgHarvest, Inc. to Increase the Minimum Investment into its Current Offering
LAS VEGAS, NV / ACCESSWIRE / December 13, 2019 / OrgHarvest, Inc., "OrgHarvest" or the "Company" (OTC PINK:ORGH), the first U.S.-based cannabis cultivation company to achieve a Regulation A+ qualification, announced today, that in light of the Company entering into a binding agreement to sell controlling interest of OrgHarvest in a considerably sized acquisition, management has determined it prudent to increase the minimum accepted investment of their Reg. A+ Offering, from $1,000 to $5,000.
Management reiterated, that as recently announced, with the Company's controlling shareholders selling their interest in OrgHarvest, so too goes the remaining shares available in the Tier 1 ($20M) Reg A+ offering. This is partly the reason for the suggested increase of the Company's investment minimum. Thus, on Thursday, December 19th, 2019 at approximately 12:00 a.m. (est), the Company will adjust the minimum investment for its Reg. A+ Offering from $1,000 to $5,000, and up until the time the acquisition is complete, the Company's offering will continue to be listed with TruCrowd Services, LLC - who is currently marketing the OrgHarvest Reg. A+ Offering on the cannabis focused securities crowdfunding portal, Fundanna.
Frank Celecia, CEO of OrgHarvest, stated, "Once again, we believe that should regulation around cannabis and hemp continue to loosen, as we have just seen with the MORE Act (Marijuana Opportunity Reinvestment and Expungement Act), the value proposition of this transaction could be a real win for OrgHarvest and its shareholders. It's important for us to maintain the integrity of our new relationship with a view to minimize dilution where possible. This of course, while still leveraging the JOBS Act [Title IV]; giving as many people as possible, the opportunity to invest in an emerging U.S.-based cannabis cultivation company."

TruCrowd Services Clients OrgHarvest and QwikLeaf Make Strides Admid House Judiciary Committees MORE Act
GlobeNewswire GlobeNewswire•December 9, 2019
CHICAGO, IL, Dec. 09, 2019 (GLOBE NEWSWIRE) -- via NEWMEDIAWIRE – TruCrowd Services, LLC., a specialized provider of digital marketing strategies and marketing services for Regulation A (Reg A+) and Regulation Crowdfunding (Reg CF) ventures, announced today, that on the heels of the House Judiciary Committee passing H.R. 3884, the MORE Act (Marijuana Opportunity Reinvestment and Expungement Act) QwikLeaf and OrgHarvest Inc. (ORGH) have made tremendous strides – both in operations and their leveraging of the JOBS Act – Title III and Title IV (Reg. CF and Reg. A+, respectively).
When asked to comment on the MORE Act, Frank Celecia, CEO of the first U.S. based cannabis cultivation company to qualify with the SEC for the Reg. A+ said, “the fact that the House Judiciary Committee overwhelmingly voted 24-10 to pass this Act, shows the progress being made in the U.S. cannabis industry. I believe we’re at the forefront of the most efficient way to grow cannabis. And, with our patents for certain agricultural biotechnology which protects the healthy growth of cannabis plants, I am very confident that our contribution to the U.S. cannabis marketplace will help to solidify a prosperous future for OrgHarvest.”
Neil Biafore, CEO of QwikLeaf, an innovator of the click and collect platform for cannabis, commented this regarding the MORE Act, “Marijuana and cannabis reform is directly in-front of us. The investment into the industry, as well as what this could do for those with past cannabis convictions would be incredible. If the U.S. Senate sees the same opportunity that the House of Representatives just saw, then we are truly on the cusp of changing history and I believe our QwikCollect platform will swiftly expand out of Michigan and across the country.”
The offerings for both companies can be found on the cannabis-focused securities crowdfunding portal, Fundanna. Fundanna.com is the home to such Reg. CF successes like Transatlantic Real Estate – exceeding $1M in capital raised, 420 Real Estate – currently $30k shy of exceeding $1M in committed capital, and one of the industry's larger Marijuana Social Networks, CannaSOS.
As previously announced, OrgHarvest secured licenses for Rhamnolipid Liposomes patents to help prevent diseases which currently plague cannabis and hemp plants, after entering into a license agreement with Keith DeSanto of Rhamnolipid Inc. QwikLeaf formed a partnership with Green Retail Ventures allowing for the creation of 10 recreational cannabis stores powered by QwikLeaf’s QwikCollect platform across Michigan.
Sean Fuellhart, Chief Operating Officer of TruCrowd Services, stated, “Companies like OrgHarvest and QwikLeaf make the marketing of Reg. CF and Reg. A+ cannabis offerings exciting. Whether the issuer is raising up to $1.07M on Reg. CF or up to $20M (Tier 1) and/or $50M (Tier 2) with Reg. A+, we believe that these cannabis businesses, with their patents, licenses and partnerships, will ultimately do very well in both their capital raises as well as ventures and TruCrowd Services is pleased to be marketing their offerings.”
Management does anticipate that additional updates will soon follow from both OrgHarvest and QwikLeaf on their current and future operations.
About OrgHarvest
OrgHarvest offers an exceptional opportunity for investors interested in a unique combination of technology and an innovative business model targeting the recreational and medicinal cannabis market legal in Las Vegas, Nevada. The timing of the market and the strong demand provides a winning combination for success.

The $20 million Reg A Offering approval for ORGH and recent 12 month extension are impressive milestones here and give us a clear indication that there is major earnings potential in the company business plans.
OrgHarvest Receives SEC Approval to Extend Reg A Offering
LAS VEGAS, Nov. 04, 2019 (GLOBE NEWSWIRE) -- via NetworkWire – OrgHarvest, Inc., “OrgHarvest” or the “Company” (OTCMKTS: ORGH), the first U.S. based cannabis cultivation company to achieve a Regulation A+ qualification, announced today that the Securities and Exchange Commission (SEC), has approved a 12-month extension on OrgHarvest’s Reg A+ Offering (https://www.fundanna.com/equity/offer-summary/OrgHarvest).
As previously noted, OrgHarvest made history when it became the first U.S.-based cannabis company touching the plant, to complete the Reg A+ qualification process. Now, with further assurance that the initial qualification was justly granted, the Company has received a 12-month extension on its Reg. A+ offering. This 12-month extension allows OrgHarvest to complete its raise of up to $20M through the Tier 1 Reg A+ offering.
Management indicated that the timing of this extension was nearly perfect, particularly as the Company has completed and filed with the SEC a GAAP Audit via Black Rock Consulting in anticipation of becoming a fully reporting company – with plans to upgrade its securities to the OTCQB at the end of 2019 via a PCOAB audit. This is a strategy that management believes will bring more comfort to investors, given that regulations around the U.S. cannabis market are still somewhat convoluted. However, in scoring a historical SEC qualification, then securing licenses for Rhamnolipid Liposomes Patents and with persistent diligence in becoming a fully reporting OTCQB filer, the opportunities available to OrgHarvest are plentiful.
Frank Celecia, CEO of OrgHarvest, Inc. stated, “Things are all slowly falling into place... And, once we finalize a few of the larger deals that we’re currently working on, things should quickly expand on all fronts – including shareholder confidence. We are extremely thankful to the SEC for approving us for another 12 months and will continue to aggressively push our Reg A+ offering forward.”
The offering for OrgHarvest, Inc. is listed with TruCrowd Services, LLC. TruCrowd Services, LLC has made OrgHarvest’s Reg. A+ offering available to the public leveraging the cannabis focused securities funding portal, Fundanna.com – (see listing here (https://www.fundanna.com/equity/offer-summary/OrgHarvest)).
