Both companies can now manufacture and sell all Medesol product recipes globally.


This is likely the biggest financial return identified in this announcement that the market will not understand IMO, meaning that BC retained the rights to sell and manufacture MG "product recipes". Code for, they got the special sauce formula and the return of the 45,000 Preferred D shares back.

My gut tells me this is a much better deal than it was looking like last week.

My take on the falling out.

We appreciate all BC shareholders' inquiries, but let's all just move on and not delve into any drama regarding the revised amendment with Medesol Global. Fact, we simply have differences in business ethics, so we've parted ways with Medesol Global owners. We got everything we demanded. Done!

Code for, MG wanted to change a "signed" deal and after doing so, BC realized they couldn't continue with a partnership when you have partners that had NO business ethics. Meaning if you're not going to honor the agreement, you part ways.

Bottom line doesn't matter how profitable a business deal looks, if you can't trust your relationship, you MOVE on. I've seen this movie play out too many times.

BC shareholders: Summarizing the latest info. BC & Medesol Global have parted ways. BC is relieved of approx. $40k owing MG along with canceling of a $25k note owed to a MG owner. While I can't speak to the size, after looking at the number of team members listed on the updated website, it is getting REAL!

This is getting very huge and very real. These board members aren't here to screw around. A few new names since I've last checked. The rapport of these guys shouldn't be taken lightly.

It's unfortunate that a few folks here still believe "I'm screwed" and can't understand what is taking place with this company.

Learning that we are close to rolling out a pilot program means we have some time to NOT chase this one just yet. That of course assumes you can even buy any real volume of shares down here. As long as management continues to provide a few breadcrumbs, the harder it is going to be to find any REAL number of shares to buy under $0.02 IMO.

Hopefully something happens this year.

Experience tells me that this likely unfolded over several weeks if not a couple of months, once the Winner deal got legs. It also tells me that the investor was trying to do an end run when he/she learned of the potential with IP and had a change of heart in the funds advanced. However, it's just an "educated" guess on my part.

My gut says the investor was Simon based on his background and given the fact that he was on the board. Which would also line up with "As a result, the owners of Medesol Global, who held key positions at Breakthrough Chemistry, felt this added distraction along with other personal reasons, they were unable to fulfill their board obligations to BC and subsequently resigned."

There is a face I haven't seen before today.

I'm curious to see (and I'm sure others are feeling the same with what I've gathered) if MedeSol/Johnstons were the ones wanting to seize control of the company. That's what it's seeming like to me when I read between the lines, but then again, everything is a conspiracy to me. I'm glad it was handled so swiftly and confidently and I'm glad they addressed the shareholders on this quickly. This management team doesn't belong in the OTC. Get this stock to NASDQ and fortune 500 already.

ITYS - I'd imagine he's still lurking and will likely resurface here soon. I'm not sure if many of us have dueled with him. He's always been very bullish on BC ever since I showed up to this board around 2020 or so.

I've been updating my very patient wife on what the company is up to and explaining how all of this works and we are both very excited to see what comes of BC this year alone. We've been holding for 6 years and it's been a rollercoaster haha. GLTUA

What is interesting is how and WHY this was likely resolved given how this is worded:

Knowing the company likely didn't come up with the required cash (lacked the ability) to clear the debt and was still able to still retain all their shares in MedeSol, would suggest that the new agreement was satisfied under a percentage of sales (royalty) under a deal with Winner. This would mean the MedeSol "large investor" sees value in the Winner deal as opposed to trying to gain control. Interesting!

This is directly tied to the recent step down. End of Story!

Given how management has been so closed mouth, I find the timing of this announcement acknowledging Winner as a "business partner" under what appears to be come kind of negotiations for a "pilot trail" program interesting to say the least. This would support that Winner and Breakthrough are likely close to taking the next step, but that they are on hold.

Considering China closes down this time of year, and the recent departing of the CFO/COO would tend to support that our CEO is frustrated and wants to let shareholders know he is close to inking a pilot program.

Yesterday it gap up to open at 0.0147 and closed at 0.01445, today it gap down open @ 0.01235, who knows tomorrow will gap up again MM’s know something news will come early next week. Those that sold on the low 0.0101 will regret for there losses or does anyone think they trying to cover shorts, before the symbol and name change, also could be mm’s correcting their inventory for the name and symbol change and moving into the new OTC tier.

Only thing I'm worried about is if MGON goes up before my funds are available. Trying to nab some last-second shares as fast as possible before the wave happens.

Not even much volume. But as you know, it moves up or down on very little. If we saw 400k in buys in one day we would be back over .02. Just waiting for ticker and name and uplist here. Winner Medical news will surely follow.

Simon was likely key to landing the Winner contact due to his background (see company Bio) in the industry. Given I feel that Simon and Joshua are father and son, it's easy to understand that they didn't step down because of "added distraction". One doesn't step down as CFO/COO because of their required duties to fight a takeover when one of your investors is trying to steal the company.

Either they were working behind the scenes to aid this investor, or were part of a takeover to secure the CEO's position of control. Either way, it would suggest that this company has more value than meets the eye.

The second time I read through it - that was exactly what struck me. When it comes to money, folks will twist them self’s along all those involved into a pretzel. The old adage “fly on the wall” is where I’d like to be - behind the closed door on this matter.

But, the fact that a seat shuffle is occurring while the ink on the paperwork is drying ?? Sure bodes well for shareholder potential with no doubt. Patents mentioned also. Winner Med is certainly “inked” into the process here somewhere = potential for big money will most definitely stir up a barrel of monkeys.

Spot on. The time, the money, the administrative effort, and pain in the ass steps to put all these things into place and get uplisted would not be happening if the Winner deal wasn't going to be announced. I think the testing stuff is a formality at this point. They just need to send me a pack of the diapers before they make the announcement. I will need them.

I've been in other stocks where a large shareholder attempted to steal the company because they saw the real numbers behind the curtain that shareholders don't get to see in real time. We also have the uplisting announcement, once all ducks are in a row. I have to assume that the Winner deal is in play and that is why all of these things are taking place.

Watching the CFO move on in a new start up is not something I worry about given the company has wrapped up the audited financials. If the financials had not been updated, this would be more of a concern here.

The timing of this news is likely why they came out with an update on the name change. That said, show us an update on Winner would be more meaningful IMO.
