("Bolt") in connection with exploration costs incurred by Max relating to its Florália High Purity Iron Property (title no. 832.022/2018) (the "Property") by issuing to Max: (i) 4,000,000 Shares of Bolt ("Shares"); and (ii) 2,000,000 pre-funded warrants of Bolt under certain terms. In addition, Max Iron Brazil Ltd. ("Max Iron") an entity controlled by Max has entered into a definitive option agreement (the "Option Agreement") pursuant to Bolt acquiring 100% of the Property, by issuing to Max Iron an aggregate of 26,800,000 Bolt Shares under certain terms.Florália High Purity Iron Property HighlightsThe Property is located 67 km east of the capital city of Belo Horizonte, Minas Gerais, Brazil's largest iron ore and steel-producing state. Iron ore remains critical for global infrastructure and steel production. Ongoing urbanization in emerging markets continues to support high-grade iron assets, which offer reliable supply with a lower environmental footprint. The project does not require a tailings dam or water permits, allowing for fast-tracked permitting, reduces capital expenditure and the overall environmental footprint.¹The Company cautions investors that the potential quantity and grade of the Florália Exploration Target is conceptual in nature and therefore is an approximation. There has been insufficient exploration to estimate a Mineral Resource and it is uncertain if further exploration will result in the estimation of a Mineral Resource. Hematite mineralization tonnage potential estimation is based on in situ high-grade outcrops and interpreted and modelled magnetic anomalies. Density value used for the estimate is 2.8t/m³. Hematite sample grades range between 55-61%Fe. The 58 channel samples were collected for chemical analysis from in situ outcrops in previously mined slopes of industrial materials. Each Pre-Funded Warrant will be exercisable into one Bolt Share at an exercise price of $0.001 per share for a period of 24-months from the date of issuance. The securities will be subject to resale restriction for a period of 24-months from the date of issuance.Provided that Max, together with its affiliates, owns at least 5.0% of the issued and outstanding Shares of Bolt, Max will be entitled to nominate one director to Bolt's board of directors and will have a participation right to maintain its percentage ownership interest in connection with certain future equity issuances by Bolt.Following issuance of the securities under the Debt Settlement are subject to receipt of all required regulatory approvals.Option AgreementBolt has entered into a definitive Option Agreement with Max dated May 12, 2026, whereby upon exercise of the Option, Bolt may acquire a 100% interest in the Property by issuing to Max Iron an aggregate of 26,800,000 common shares of Bolt (the "Shares") over a 30-month period as follows: a) 6,700,000 Bolt Shares within 12-months of the effective date, b) 6,700,000 Bolt Shares on the 18-month anniversary, c) 6,700,000 Bolt Shares on the 24-month anniversary, d) 6,700,000 Bolt Shares on the 30-month anniversary.Upon the completion of the total issuance of the Bolt Shares, the Bolt Shares must represent no less than 25% of the issued and outstanding Bolt Shares, if less than 25%, Bolt will issue additional Bolt Shares such that Max Iron holds, in aggregate, 25% of the Shares of Bolt following the issuance. Bolt may accelerate exercise of the option at any time prior to expiry of the 30-month option period. In certain circumstances, including a change of control of Bolt, an encumbrance of the Property, or a decision to mine, Bolt will satisfy all remaining option conditions within five business days.Following issuance of the securities under the Option Agreement are subject to receipt of all required regulatory approvals.Quality AssuranceChemical analysis was performed at ALS Laboratories. Metal Oxides are determined using XRF analysis. Fusion disks are made with pulped samples and the addition of a borate-based flux. Analysis at ALS is for a 24-element suite. FeO is determined using titration and LOI using loss determination by thermogravimetric analysis at 1000°C. Max did not insert standards or blanks in the assay stream and is relying on ALS's lab QA/QC. The ALS lab inserts its own standards at set frequencies and monitors the precision of the XRF analysis. Strata-bound mineralization is found in structurally prepared and porous horizons within a thick sequence of volcanic rocks of Jurassic age. The sedimentary sequence is composed of fine to very fine reddish to greenish sandstones interbedding with siltstones, in this context organic matter is the reducing agent causing the precipitation of copper. The Manto-type systems are hosted by volcanic rocks, andesite and dacite. The volcanic rocks show chlorite, epidote, and prehnite alteration with bitumen acting as the reducing agent for copper enrichment. The first mineralized outcrops were discovered in the Cedro valley and subsequent continuous saw-cut channel sampling returned 1.8% copper & 7.2 g/t silver over 48.0mAM15 - located approximately 1,300m to the northwest of AM13 mineralization is found filling fractures and vesicles of an andesitic tuff. Ore forming minerals include chalcocite, malachite and azurite.AM16 - located approximately 1,800m to the west of AM13. Mineralization is found in veinlets and filling cavities within andesite, agglomerate and breccias. The mineralized rocks show hydrothermal overprinting and a chalcocite rich matrix. Epidote lenses with high native copper content are present in joints that are parallel to and cross-cut the bedding. Exploration Target of 50-70Mt at 55%-61% Fe. Fully funded through an LOI option to purchase by Bolt Metals Corp (CSE: BOLT) issuing an aggregate of 32.3m shares. The transaction is subject to satisfactory applicable regulatory approvals. Since the execution of the LOI, BOLT has received aggregate gross proceeds of $9,600,000 from private placements. Max cautions investors the potential quantity and grade of the iron ore is conceptual in nature, and further cautions there has been insufficient exploration to define a mineral resource and Max is uncertain if further exploration will result in the exploration target being delineated as a mineral resource. Hematite mineralization tonnage potential estimation is based on in situ high-grade outcrops, interpreted and modelled magnetic anomalies. Density value used for the estimate is 3.0t/m³. Hematite sample grades range between 55-61% Fe. (TSXV: MAX) (OTC Pink: MXROF) (FSE: M1D2) ("Max" or the "Company") is pleased to announce the Company's in-country team has successfully completed systematic metre-by-metre rock chip channel sampling ("Channels") of the mineralized vein structures and from the hangingwall of the vein along the entire 47.5m of tunnels in the El Oso underground ("U/G") mine within the NAN target; one of 19 past and 5 active mines identified on the Mora Gold Silver Property ("Mora" or the "Property") situated in the Marmato gold district, 70 km south of Medellin, Colombia (refer to Figures 1 to 6 and Table 2).The programs form part of the Mining Technical Work Plan ("PTO") to permit drilling and small-scale production. In total, 87 rock samples were collected (83 original and 4 duplicates); 46 from mineralized veins and 41 from host rock and the hangingwall; for total of 42 channels perpendicular to the mineralized veins. Mapping and channel sampling was conducted along the entirety of both levels: the 37.5m Main Level and the 10.0m Upper Level. The El Oso U/G (active 2012 - 2015) driven at azimuth of 295°, is located at the lower most southern portion of a 5,000m long NW striking mineralized corridor which extends towards the Mora Property's BQ and BX targets, approximately 700m higher in elevation. The gently sloping tunnels have an average height of 2.0m, width of 1.6m, horizontal depth of 37.0m.Exploration activities to date: Over the last 3 months, Max's team conducted topographic and geological mapping of historic mines/adits and outcrops, with the initial objective of outlining the continuity and widths of the 5,000m Marmato-type mineralized corridor from NAN to the BQ/BX targets to the northwest. El Oso U/G channels: The objective of the channel sampling program is to gain an understanding of the mineralization and structure of the El Oso vein system and the greater 5,000m mineralization corridor through sampling along strike on two levels. The channel sampling should demonstrate continuity of mineralization and grade within one of the key structures within the highly prospective vein system. El Cielo U/G mine: Channel sampling at the El Cielo UG is underway, also active 2012 - 2015 and located along trend 100m NW of El Oso. The 60.3m long El Cielo tunnel, 2m by 1.3m, depth of 37.0m was driven at azimuth 319°, sub-parallel to El Oso. A series of exposed polymetallic structures 2,500m by 1,000m, 19 past and 5 active mines/adits along the 5,000m mineralized corridor appears to demonstrate the Marmato deposit is part of a prolific mineralized system, the mines/adits and elevations are providing a view of the mineralized system in three dimensions."We are extremely pleased with the El Oso channel sampling as it demonstrates the continuity of the mineralization and structure which appears to trend onward to the El Cielo mine, suggesting the Mora mineralized corridor has potential bulk-size targets.
