(NYSE:PVH) came under heavy selling pressure in premarket trading on Thursday, with shares dropping around 22% after investors focused on a more cautious full-year outlook despite a solid first-quarter performance that met or exceeded market expectations. Outlook Revision Raises Investor Concerns Despite the encouraging start to the year, management updated its full-year outlook to reflect the continuing impact of geopolitical tensions in the Middle East, particularly on consumer demand across Europe, the Middle East and Africa (EMEA). PVH maintained its adjusted earnings-per-share forecast of $11.80 to $12.10 for the fiscal year. EBIT on a non-GAAP basis for these periods excludes these amounts. The Company’s tariff outlook continues to assume a negative impact related to a full year blended rate of approximately 15% tariffs on goods coming into the U.S., including an approximately $195 million gross impact to full year 2026 EBIT, or approximately $3.30 per share, and a partially offsetting impact of planned mitigation actions, which is unchanged. The discussions in this release that refer to non-GAAP amounts exclude the following: Pre-tax gain of $25 million to be recorded in the second quarter of 2026 in connection with the sale of the Company’s owned warehouse and distribution center. Pre-tax restructuring costs totaling $7 million incurred in the first quarter of 2026 consisting principally of severance in connection with the Company’s multiyear initiative announced in 2024 to simplify its operating model by centralizing processes and improving systems and automation to drive more efficient, cost-effective ways of working across the organization (the “Growth Driver 5 Actions”). Pre-tax restructuring costs totaling $93 million incurred in 2025 consisting principally of severance in connection with the Growth Driver 5 Actions, of which $13 million was incurred in the first quarter, $45 million was incurred in the second quarter, $22 million was incurred in the third quarter, and $13 million was incurred in the fourth quarter. Pre-tax gain of $13 million recorded in the fourth quarter of 2025 related to the recognized actuarial gain on retirement plans. Pre-tax noncash goodwill and other intangible asset impairment charges of $480 million recorded in the first quarter of 2025, which were primarily due to a significant increase in discount rates. Estimated tax effects associated with the above pre-tax items, which are based on the Company’s assessment of deductibility. Non-GAAP Measures
(In millions, except per share data) The Company believes it is useful to investors to present its results for the periods ended May 3, 2026 and May 4, 2025 on a non-GAAP basis by excluding (i) the restructuring costs incurred in the first quarters of 2026 and 2025, related to the Company's multiyear initiative to simplify its operating model by centralizing processes and improving systems and automation to drive more efficient, cost-effective ways of working across the organization (the "Growth Driver 5 Actions"), consisting principally of severance; (ii) the noncash goodwill and other intangible asset impairment charges recorded in the first quarter of 2025, which were primarily due to a significant increase in discount rates; and (iii) the tax effects associated with the foregoing pre-tax items. Reconciliations of Constant Currency Revenue
(In millions) As a supplement to the Company’s reported operating results, the Company presents constant currency revenue information, which is a non-GAAP financial measure. The Company presents results in this manner because it is a global company that transacts business in multiple currencies and reports financial information in U.S. dollars. Foreign currency exchange rate fluctuations affect the amounts reported by the Company in U.S. dollars with respect to its foreign revenues. Exchange rate fluctuations can have a significant impact on reported revenues. The Company believes presenting constant currency revenue information provides useful information to investors, as it provides information to assess how its businesses performed excluding the effects of changes in foreign currency exchange rates and assists investors in evaluating the effectiveness of the Company’s operations and underlying business trends in a manner that is consistent with management’s evaluation of business performance. The Company calculates constant currency revenue information by translating its foreign revenues for the relevant period into U.S. dollars at the average exchange rates in effect during the comparable prior year period (rather than at the actual exchange rates in effect during the relevant period). The PVH Foundation recently announced the launch of an exclusive fellowship program with Harlem’s Fashion Row (HFR) aimed at elevating emerging design talent. Through this initiative, three selected designers will each receive grants to support the creation and presentation of their collections. These designers will debut their Spring/Summer 2027 collections at HFR’s Fashion Show and Style Awards during New York Fashion Week, gaining valuable exposure on a prominent industry stage.


The fellowship also includes an in-depth, structured mentorship program facilitated by PVH associates, offering participants hands-on guidance across key areas such as design development, brand building, and business strategy.


Council of Fashion Designers of America (CFDA)

Through its partnership with the CFDA, the PVH Foundation will award three scholarships to design students whose work explores how fashion carries meaning across time—through construction, narrative, and responsibility. Open to senior undergraduate and first-year graduate students, the scholarships support one year of study at a U.S.-based college or university.


In addition to financial support, recipients will gain access to the PVH archives—engaging directly with Calvin Klein and TOMMY HILFIGER garments, materials, and brand histories—to better understand the evolution of design and storytelling. NEW YORK--(BUSINESS WIRE)-- PVH Corp. (NYSE:PVH) reported 2014 third quarter results and updated 2014 guidance.

Non-GAAP Amounts:

Non-GAAP amounts discussed in this release exclude the items that are described in this release under the heading Non-GAAP Exclusions. Reconciliations of GAAP to non-GAAP amounts are presented later in this release and identify and quantify all excluded items.

Overview of Third Quarter Results:
• Earnings per share on a non-GAAP basis was $2.56, an 11% increase as compared to $2.30 in the prior years third quarter.
• GAAP earnings per share was $2.71, a 14% increase as compared to $2.37 in the prior years third quarter.
• Revenue was $2.23 billion, a 2% increase over the prior years third quarter amount excluding $67 million of revenue related to the Bass business (which was sold on the first day of the fourth quarter of 2013). Third quarter 2014 revenue was negatively impacted by approximately $30 million, or 1%, due to foreign currency translation. Revenue decreased 1% from the prior year period including the Bass revenue. Revenue changes by business from the prior year period included (i) a 2% increase in the Calvin Klein business, which includes a 1% negative impact from foreign currency translation; (ii) a 1% increase in the Tommy Hilfiger business, which includes a 2% negative impact from foreign currency translation; and (iii) a 3% increase in the Heritage Brands business excluding the $67 million of 2013 Bass revenue, or a 10% decrease in the Heritage Brands business including the 2013 Bass revenue.

Revenue increased 1% as compared to the prior year period including the Bass revenue. Revenue increased 9% in the Companys Tommy Hilfiger business and 1% in the Companys Calvin Klein business. Revenue in the Companys Heritage Brands business was flat to the prior year excluding the $62 million of 2013 Bass revenue and decreased 13% including such revenue.
