I agree Loxxx. Hope you take that break from the phone. Absolutely nothing happening until next year. Trustee made it pretty clear that he will just be working on settling claims over the next year or so. Remnant sale is minimum 6 months. Immune or Cytovia need to still overbid and purchase the SATT assets. Nice to get Final Order behind us. Just need the Final Decree and closing. That will be April 2024. This is a completely different program than 2013/2014. They have all the time in the word to complete the reverse triangular merger. You can keep on wishing for that 1:1 split. Dreaming is great. We know one thing for sure. There is no spin off. Just a huge reorganization, I wanted a sale which Bruce is hoping for. But sadly I will be paying the big tax since they will be listing immediately onto a major exchange. Any one have any clue if October debenture’s maturity date or 10 yr option plan expiring in August applies here?? I don’t think they do but maybe there is a chance. I believe the warrants / securities agreement has some ground. The option plan should have some ground too but I guess that’s up to Kazzy to decide. Any ways. I guess we just have to sit tight and let the dice fall where they may. 100 days to settle claims. 100 days to settle lawyer claims. 180 days for Remnant asset sale. 25 days for final decree. Hey Loxxx. Enjoy your holidays. Just relax and enjoy. Nothing happening this summer. This is a completely different deal than the one in 2103 /2014. This is a SPAC deal. I believe this one gives them complete control of timing and they don’t have to release anything until next year. Honestly, they could even take this through 2024. The last deal really didn’t get started to 2025. I like to say 2013 but that was a different type of deal. This is completely run by the crooks. So they will draw this out until needed. Last Epicept deal didn’t do anything until 2024 but they really did the big stuff in 2025. I’m just glad they settled with the creditors and Israelis. July 18th will get the ball moving. 15 days from that day will start the settlement process. Then 100 days from that point before settlement with creditors. Then comes final decree 25 days later. Loxxx. Unfortunately there will be no real good news. You realize that your holding will be knocked down substantially. I’m sure you do and are prepared for the change. Immune was purchased by Immune ltd. Even though holding remains the same, so they say, the next step of merging with Cytovia will be the time when your share amount will dramatically change. I’ve already gone through my mourning stage. Sucks big time. Never saw it coming but then the breaks. I believe it will be a 1:20 split which I believe was what they wished for before we went into bankruptcy. So whatever you have now will be quite a bit less. The process of this deal is for the crooks to continue getting paid for doing less work and then slowly grow the business using other people’s money. Remember. This is just a pump and dump. Pump and dump. They will continue doing this until they have funded the trials for their drugs. It’s the only way these guys can do things. At the end of the day, these guys don’t pay the tax so they don’t care period. Sadly, many people like myself have to pay the tax and lose in the end. I’m just hoping I can try to recover after the tax and make something back through the usage of my TFSA. As I explained, the whole Alexion delusion is as just that. All the custodians of the assets are simply helping Immune in its goals of getting the reverse merger done. They hold the assets clearing out Immune so it can do its job. So far everyone has taken its share of the assets. United General is just holding for Immune. Nothing is actually completed but it’s pretty much done. They just need to square away the bankruptcy. Trust me. This all sucks. Creditors definitely make out well here. But us shareholders got screwed big time. I may make back a few bucks and that’s it. I got really excited back when I thought Alexion may have taken the shares based on timing. I was genuinely excited, but then I learned the collaboration part of the deal and how partnerships worked in these Plans and then my accountants explained what was possibly happening. That’s when my heart sunk and I put my head in between my legs and cringed with dry heaves. Such is life. Just glad to get this done sooner than later. Lol. 8 plus years to receive substantially less and pay 70 percent tax. I hope you enjoy your holiday. The only good news coming our way is that they will get a few things done. Last in line are the company’s stockholders. They take the greatest amount of risk in the success or failure of a company. Thus, their recovery is limited by the preferential claims of secured and unsecured creditors. Stockholders cannot recover any assets if the secured and unsecured creditors’ claims are not fully repaid.

Unlike an individual debtor, a non-individual debtor does not achieve a discharge of its debts following liquidation; discharge of liability is only available to individual debtors (see 11 U.S. Code § 727).

So I expect no filings this month. The filing parade didn’t start last time until first of August. What’s more interesting is that they never quite filing the last time they played this gambit. So that makes me conclude that I know nothing about nothing. All you have to do is compare the filing and reporting dates and nothing lines up here. Nothing matches to what we are doing today. Of course they are very different types of deals. This time they have really prolonged the deal and like I said it’s all pending on bankruptcy. So with that at the forefront of my mind, I can honestly say that I see this not being finalized for quite some time. I never really compared the reporting dates and now that I have. I can see that they are doing things much different. For some reason, and against my best judgement I continued to compare filing / reporting dates. How foolish of me for sure. Just shows how inexperienced I am. Lol. Obviously no brains here. lol. I admit my nativity. Any ways. Bankruptcy is definitely the determining factor and that’s an ongoing charge on their end. Like my buddy Mike says. We still have remnant sale which we all know will take some time. I assume all activities that get done will continue to be on the down low and won’t be reported until Super 8. Nice thing is Final Order is coming soon. I wouldn’t be so concerned about that stuff. August will be a changing of the tides. Financing and conversions and all the good stuff will be soon following. We won’t get our true listing until second half of 2024. Sadly some may sell share before then. I sure won’t. I’m just going to hold onto my holdings. I’m hoping and praying that these financiers stand by and fulfill on their desire of buying cheap shares. Loxxx, I will mention that this next reverse merger is what Teper alone created by forming Cytovia Tx and Immune previous. It will be interesting to them merge. Obviously Epicept was a completely different entity unto itself that I don’t believe Teper played a role in. This new reverse triangular merger etc is all on him and his creation. Not tying to give him and kudos, I’m just pointing out that it is a different set up and maybe there will be some slight variation in timing and arrangement. I just know all has to be completed by February. I’m hoping with fingers crossed that they do something similar as they did in 2013, but that’s just me hoping and wishing. I for one would like to watch them do the multiple financing and step the price up from hopefully a low ball listing. I also would like to watch a remnant sale happen in Fall. Cytovia Support Agreement
In accordance with the Merger Agreement, within 24 hours following the execution of the Merger Agreement, certain stockholders of Cytovia representing the requisite votes necessary to approve the Merger Agreement are expected to enter into support agreements (the “Stockholder Support Agreement”) with Isleworth and Cytovia, pursuant to which each such holder will agree to (i) vote at any meeting of the stockholders of Cytovia all of its Cytovia Common Stock and Cytovia preferred stock held of record or thereafter acquired in favor of the approving and adopting the Merger Agreement, (ii) be bound by certain other covenants and agreements related to the Business Combination and (iii) be bound by certain transfer restrictions with respect to such securities (i.e., a “lock-up”) to be provided in the amended and restated bylaws of Isleworth, in each case, on the terms and subject to the conditions set forth in the form of Stockholder Support Agreement.
