TOTAL VOTING RIGHTS AND CAPITAL 
 
In  conformity with the Transparency Directive, Octopus Phoenix VCT plc notifies 
the market of the following: 
 
Octopus Phoenix VCT plc's capital as at 28 February 2010 consisted of18,616,998 
Ordinary shares with a nominal value of 10p each, with voting rights. 
 
Octopus Phoenix VCT plc does not hold any Ordinary shares in Treasury. 
 
Therefore, the total number of voting rights in Octopus Phoenix VCT plc 
is18,616,998 (the 'Figure'). 
 
The Figure may be used by shareholders as the denominator for the calculations 
by which they will determine if they are required to notify their interest in, 
or a change to their interest in, Octopus Phoenix VCT plc under the FSA's 
Disclosure and Transparency Rules.
