                           DIRECTOR'S SHAREHOLDING

               ITIS Holdings plc ("ITIS" or the "Company")



The Company was informed today that on 12 February 2004 Giles Harridge, a
director of the Company, exercised options over 1,000,000 ordinary shares of 2p
each in the Company (the "Shares") held in the ITIS Employee Benefit Trust
("EBT") at a price of 7.5p per Share.



On completion of the transfer of the Shares from the EBT, Giles Harridge will
hold a total of 1,409,335 ordinary shares in the Company representing
approximately 1.43 per cent of the issued ordinary shares of the Company.
