Hyder acquires Australian Environmental Consultancy

Hyder Consulting plc has acquired Nolan-ITU, a specialist environmental
consultancy with operations in Victoria and New South Wales. Established in
1995, Nolan-ITU provides strategic advice on environmental issues and
sustainable development to both the public and private sectors. The company
employs a team of over 20 staff and for the year to 30 June 2005 turnover
amounted to approximately #1m with profit before interest, tax and exceptional
items of approximately #0.15m. Net assets acquired are expected to be minimal.

Nolan-ITU's main business areas are sustainability consulting, catchment
management, waste management and technology and packaging management. These
skills complement Hyder's environmental and water capabilities across the
region.

The full purchase price is capped at #0.75m comprising an initial payment of
#0.25m and two subsequent annual payments totalling #0.25m. The balance of the
purchase price is payable over the next three years dependent on future income
and profit growth.

The acquisition is one of a series of small infill acquisitions that further
strengthens the Australian business.
