Trading Up-date and Directors and Management Share Dealing


Overall trading in the first quarter has been in line with expectations and the
intake of new orders has taken our order book to a new high. This will help to
underpin the performance of the business for the remainder of this year and
beyond.


New orders of note include the following:
     
*    civil and structural engineering of the 100m U2 Tower in Dublin;

*    the design element of a #72 million Early Contractor Involvement highways 
     project in the West Midlands;

*    infrastructure design through a JV for the 2,500 acre Qatar Education 
     City site;

*    a new 200,000 population sewage treatment plant, also in Qatar;

*    design services for the MGM Grand Casino in Macau; and

*    traffic and revenue forecasting for the North South Bypass Tunnel in 
     Brisbane.

The London Olympics will generate considerable infrastructure work in London and
the South East from which we believe we are well placed to benefit.

The integration of Weathered Howe, our latest Australian acquisition, is
proceeding well helped by the great enthusiasm of all those involved.

We continue to work on our pipeline of small infill acquisitions and expect to
bring some of these to fruition over the coming months.

In addition, the Company has today been informed of a sale of Ordinary shares by
Directors and Senior Managers.  On 3 August 2005, in order to satisfy
institutional demand, the following Directors and Senior Managers sold, in
aggregate, 2,250,000 Ordinary Shares of 10 pence each at a price of 195 pence
per Ordinary Share.
