The India I.T. Fund Limited ("the Company")

Approval of proposals

At the Extraordinary General Meeting of the Company held yesterday in
Mauritius, the resolution approving the capital reorganisation was duly
passed.  The sub-division of each redeemable participating share of US$0.01
each into two redeemable participating shares of US$0.005 each will therefore
become effective tomorrow 12 July 2000, by reference to the Conversion Date of
midnight (UK time) on 11 July 2000 set by the Board.

The UK Listing Authority have agreed to admit the new redeemable participating
shares of US$0.005 each to the Official List and the London Stock Exchange
have agreed to admit such shares to trading and both such admissions are
expected to become effective at 8.00 a.m. on 12 July 2000.
