For a guy who claims to be an investing veteran, you don't sound like it. No one doesn't care if they make or lose money whose been in the game a while.

Next week after Thanksgiving and after Q1 has ended I am going to try to engage him in a reasonable email conversation about some of the issues we have all expressed here in the last few weeks.

In the couple of penny stocks I have been involved in management read the iHub posts. And I was Chm and CFO for one. Management looks for fact based comments from knowledgeable professionals.

I was also a CBOE market maker and I know even way back then the trading crowds on the floor had periodic evaluations for several market quality metrics. This must be the case even for MMs down here in the penny stock bargain basement. I don't think you make any friends in the boardroom or on Level 2 by shouting in ALLCAPS and complimenting yourself on the size of your member.

Ron's not smart enough to figure out how to do a buyback. His CFO is still hurt also.

At $.0056 the market cap is about $2 million. At 8-31 that is how much cash they had.

The quarter ends Fri/Sat so they can't buy any shares here without a disclosure of roughly how much money they made/lost. But....they should put a little cash into an open market buying program. Just announce they have $200K or whatever to spend.

I would spend half of each quarter's earnings to buy stock at up to $.006 since BV is $.0084/share.

They have not held an annual shareholder meeting that I am aware of. They should do that so we as owners could organize and get some representation on the BOD.

No he did not respond to my email except to issue a restatement of the earnings report for the obvious error.

I think they should issue Q1 statement by 12-15 to give us all a clear view of the current state of the company. Did we have a second consecutive quarter of losses for the quarter that ends this Sat?? What is the cost of the assets purchased and how much have they contributed to Q1 results?? How has all of that impacted the $2 million cash held on the BS at 8-31-24. A statement they recognize the weakness in the stock price and that it trades below Tangible Book Value. Do they have any plan to repo shares at a discount to BV or is it the plan to just let new owners soak up the overhanging shares for sale.

There is almost $400K of unrecorded assets for the tax benefit of the NOLs. Do they really believe we will not have enough future earnings to use those??

Finally, I would like to see some indication that we are not just spinning our wheels with the 2 business lines outside of Silex. Sale of those could be a source of funds to shrink o/s.

This company does not have a strong enough financial team to be able to step up to a higher level of trading.

At the closing price on Friday of $.007 the company has a market cap of just $2.5 million. With $2 million in cash I think their biggest question internally should be "how can we remain independent and grow shareholder value without being a takeover target"

Did Ron ever get back to you? My opinion is Ron can't be trusted to grow the company into a QB or QX exchange. He's C tier management who got lucky with one of his turnaround subs, Silex. Company has more than $2M in cash and doesn't have the foresight to create a buyback program for any amount of money, even $100k.

Someone woke up this morning with an epic urge to own $115 of this stock??

As an aside, if I were on the BOD here I would push for the sale of IoSoft and Earthlinc.

The company does not report segment P&L so we don't know if these providing decent return on investment numbers. They do distract management as they keep talking about evaluating small tuck under acquisitions for these 2 businesses. Very different skill sets required to run these operations compared to the construction business.

Net tangible book value for the shares at 8-31-24 is $.0084 without the unrecorded deferred tax asset. Use any funds from these sales to buy back stock at below that price and the BV increases.

We all know the last day they have to file. The last PR was a nothing burger so they could release their Q1 on 12-15 to be more transparent.

They did not follow GAAP by reporting subsequent events for the details of the asset purchase in the 10K.

This stock is under distribution as I have said for a couple months now. That began before the Q4 loss was reported. Size available today, and price weakness the last couple weeks, just before another earnings report.

I ask rhetorically again are we on the eve of another quarterly loss?

I don't feel that strongly because they had a great FY 24 vs 23 comp.

Problem is they had a 300 K swing in Q4 from income to a loss. Little disclosure on what that was but they did talk about 2 big orders just before they released those numbers. Like they were trying to get past it.

The income statement shows what looks like a 180K income for Q4 until you look at the minus in front of the dollar sign. Just a lack of attention to detail I guess.

I PROMISE YOU IF HE HAD $10 MILLION HE WOULD NOT BUYBACK STOCK.HE IS A COMPLETE MORON.AND HAS BEEN FOR MANY YEARS.HE NEEDS TO BE REPLACED AS SOON AS POSSIBLE.

At the $.0074 print today the company had a market cap of $2,659,249. They also had cash at 8-31-24 of $2,017,122.

That values all of the rest of the company at just $642,127.

For FY 2024 the company generated $1,233,952 in cash.

Why does the company not use part of the current cash to buy shares at this substantial discount??? If we expect the company to have free cash flow in FY 2025 it could end the year at 8-31-25 with the same $2 million in cash.

At a minimum they owe us an explanation of the cost of the asset purchase and the terms of any earnout if one exists.

He did not, but the email centered on the 10k error and lack of disclosure for the asset purchase.

The CFO runs the software division as well as the financial function so they are all busy trying to handle the growing responsibilities caused by the growth of the entity.

I bought more shares last week under a penny. They have $2 million in cash compared to a market cap of $3.6 million. A Ben Graham type of stock in pennyland.

Did Ron ever get back to you when you reached out?

Still no disclosure or discussion of the asset purchase.

I am glad they took action to correct an obvious error.

They moved most of the G&A expenses to taxation which makes much more sense.

I do not think this rises to the level of f ing it up.

The company CFO worked at Ernst and Ernst as I did so he is not a total screw up either. They just need to mange the growth of the support functions as the operational side evolves. Typical small company challenge.

From late 2016 thru mid 2018, debt was converted to nearly 120 million shares of stock or 33% of total current o/s. Then Officers/Directors converted years of back pay into another 74 million shares.

Directors and Officers now own 83 million shares so they have not sold any stock.

What happened to the 120 million shares owned by debt holders? If 1/2 of this is for sale at this price the company could eliminate that overhang for $600-700K. They had 2 million in cash at 8-31.

Co has no debt except for normal trade payables so they should have access to debt for asset purchases and other corp purposes.

Any kind of repo would be a welcome piece of news for me.

Cash declined just 38K during Q4 despite a 181K loss. Still able to make a 98K deposit for the asset purchase. Good story of we can believe the statements.

They do seem to want to do strong perception management.

9-11 they announce a management hire for the Silex part of the co. On 9-24 they tell us about an asset purchase for him to run. On 10-16 they repeat the news from 9-11.

Early on 10-28 they tell us good news about big orders and then after the close tell us they had a loss and missed their recent target rev number by 300K.

No disclosure on the price and terms of the asset purchase in 8-31 annual report. If they were in a higher tier of reporting that would be a reportable subsequent event under GAAP.

Finally they have a 358K valuation allowance for deferred taxes. Profitable companies who have NOLs from prior years can put that tax benefit on the books if they believe they will have enough profits to use those NOLs before they expire over the 20 yr life. The valuation allowance shows they are not confident in their ability to continue to use those thru profitable operations.

I own a significant position in this stock but have not been adding at these prices regardless of how promising the outlook.

The annual financial statements just released contain material errors and have primitive disclosures. They say they want to move up a tier in reporting but this won't cut it.

They reported $200,822 in General & Admin Expense for Q4. That gave us just $123,287 for the year. How can that be if Q3 report showed 9 month balance at $132,024???
