Your question this morning is a valid one.
In the world of the bean counter, he would like you to believe that the company has somehow violated a four day rule.

If one takes the time to read FINRA "guidelines" they will see how they rate stocks BASED on what they do or do NOT provide.

With a view to encouraging compliance with these laws, OTC Markets Group has created these OTC Pink Basic Disclosure Guidelines. We use the basic disclosure information provided by OTC Pink companies under these guidelines to designate the appropriate tier in the OTC Pink marketplace: Current, Limited or No Information.

FINRA actually states that they “encourage” a company to provide the information listed to remain current. Meaning the rules in order to obtain the current listing requirements from FINRA also provide and OTC stock from not having to provide all the information to qualify for a filling Current or EVEN Limited with FINRA. In other words, the “rules” only apply depending upon which tier the company wishes to qualify for. A company can provide NO information and guess what tier FINRA places them into.

No rules have been broken. That's said, do I support a lack of reporting in a stock that I'm invested in? Short answer hell no!

So everything that was posted earlier from our resident basher was BS, They were in contact with OTCM all along and no rules were broken.

OTCID Today, emerged from pink limited, and I'm not otcset guy on twittter

I kind of like Chartmaster. He is good at finding momentum plays and when to get out of a stock.

I've come to the conclusion that swing trading is really the only way to make any quick significant profit on stocks. Let's see what happens here. We swung front. 003 down to. 001 in 7 days. Thst is a huge swing. The 200dma is at 0013 anf that is a major support. We closed yesterday at .the support of. 0013 and the low for the day was higher then previous day (.0012 vs .001). That tells me downward momentum is weakening.

Bottom line, the 200dma support seems to be holding. Therefore, there is a good chance that the stock price will swing back up from the 200dma. How far is uncertain. However, the 50dma is a good assumption as it is no longer a support but rather a major resistance.

If the stock price swings above the 50dma then we may see the resuming of the original price ascension. But in the swing trade world, it's best to be out at the 50dma, or before, with a nice profit looking for the next swing trade opportunity. You can't fall in love with a stock. I certainly am guilty of that. Sigh...
Just my opinion.

They are describing Pink Current Information issuers — not Limited.

Hamilton & Associates states:

“all companies on the OTC Pink Market are required to promptly disclose…

This is not a quote from OTC Markets.
It is the law firm’s interpretation of the OTC Pink Basic Disclosure Guidelines.

Where the guidelines explicitly define who the rules apply to Immediately after the sentence above, Page 1 moves into:

“Qualifications for the Pink Current Information Tier”

Why the law firm sounds like it applies to all Pink issuers:
Because they are writing a practice guide, not quoting OTC rules.

So, what the hell are you even arguing about it for... Greg was STILL required to report that share issuance within 4 business days.

Pink Limited issuers are required to disclose material corporate events within 4 business days.
This is an OTC Pink Market–wide rule, not a Pink Current–only rule.

Still having a hard time understanding the "guidelines" for current vs limited are we.

The rules are the SAME for pink current and pink limited

As per the actual guidelines below:
It tells you how OTC assigns tiers, not which rules apply to which tier. WHICH shows the rules are NOT the same.

“We use information provided by companies under these Guidelines to designate the appropriate tier in the Pink Market: Current Information, Limited Information or No Information.”

WHERE the guidelines explicitly define who the rules apply to is found on Page 1, the guidelines immediately move into a section titled:

“Qualifications for the Pink Current Information Tier”

And the very first paragraph says:

“Companies that make the information described below publicly available on a timely basis (90 days… 45 days…) may qualify for the Current Information Tier.”

✔ The rules that follow apply to issuers seeking Pink Current Information
✔ Only companies that meet these requirements qualify for that tier
✔ Limited Information issuers do NOT meet these requirements

The rule for Limited is found on page two:
Companies that make the information described below publicly available within the prior 6 months qualify for the Limited Information
Tier.

The entire guideline document is the rulebook for Pink Current Information.
Limited Information issuers are defined by not following it.

The 4-day rule appears under a section titled “Current Reporting of Material Corporate Events”
This is the section where the 4-day rule lives.

The title itself tells you the scope:

“Current Reporting…” applies to Current Information issuers
Limited Information issuers are not “current,” therefore:

-- They are not required to file Material Event Reports
-- They are not required to follow the 4-day rule

I realize you need to try and support your claim that the company has "violated the rule" in order to support your claim that the company is a scam. But you really need to better understand that this isn't one them.

The best part about being in a "Limited" OTC is there will always be surprises, good and bad.

The bad, the additional stock paid out.
The good, for the first time we learned the company is bringing in construction revenue.

Some of the dumping yesterday was likely a result of the increase to the OS. Some was also likely related to only seeing $30K related to the new platform. Either way, this stock will now find new hands as the story unfolds and the company grows.

Well aware of the rules that a company must follow in order to become "Pink Current" as noted in the link I posted. ARE YOU?

This means:
OTC evaluates companies using the guidelines
If a company follows the guidelines ? it becomes Pink Current
If a company does not follow the guidelines ? it becomes Pink Limited or Pink No Information

It does not mean:
Limited Information issuers must follow the 4-day rule
Limited Information issuers must file Material Event Reports
Limited Information issuers must use OTCIQ

AGAIN, Primior is NOT Pink Current and therefore is NOT subject to the 4-day rule. IF they wish to become current, then an only then would they be required to have filed the correct notice. Period!

Greg Mitchell had 46,329,266 common shares that are not restricted before this new issuance of 420,286,363 shares... And guess what?? Lol... 420,286,363 + 46,329,266 = 466,615,629. But this last disclosure shows he holds 434,886,363 shares as of March 31... So, what's 466,615,629 - 434,886,363?? Why its 31,729,266 shares... That Means Greg has SOLD 31,729,266 of that 46,329,266 and has 14,600,000 shares of that left.

Greg selling 31,729,266 shares was also NOT disclosed in a Material Corporate Event filing OR in that last disclosure statement. I only figured it out by doing the math. These guys sure do act like scammers...

It should have been disclosed like this Current Reporting of Material Corporate Events filing when Greg added a few shares... He needs to disclose ALL buys AND sells.

While I'm not happy with the additional shares being issued, I have a better understanding of the reasoning behind the "restricted" shares and why the company restricted them.

With more than 40 years as a GP, I understand how this moved from early momentum to the current price support. I’ve built investment groups that helped clients transition out of qualifying IRC 1031 exchanges and into development projects. What PTKN has created with its new platform will likely broaden its development and construction model, adding new revenue streams that haven’t really been discussed yet as they work to scale projects for the platform.

In other words, PTKN now has a path forward that provides them a means to generate higher cashflows to the shareholders here that most "bean counters" can't understand.

That's quite the reach... And doesn't even make sense...

OTC Markets quote page for PTKN explicitly states:

“Warning! Limited Information
The Pink Limited Market is for broker-dealers to publicly quote securities with limited to no issuer involvement.”

PTKN is NOT Pink Current - it is Pink Limited Information and falls under different tier.

Pink Limited Information means:
The issuer is not current
The issuer is not following the Pink Basic Disclosure Guidelines
The issuer is not eligible for the 4-day material event rule
The issuer is not filing the required disclosures through OTCIQ

Therefore: PTKN is NOT subject to the OTC 4-day rule
✔ PTKN does not have to file material events within 4 business days
✔ PTKN does not have to use the OTC Disclosure & News Service
✔ PTKN does not have to follow the Pink Basic Disclosure Guidelines
✔ PTKN is not held to the same standard as Pink Current issuers
Because PTKN is not current, OTC does not apply the 4-day rule to them.

Notable areas of improvements with the recent filing that wasn't getting acknowledged over the weekend, BIG surprise.

Construction Income went from zero to $346,000
Accounts Receivable went from $600K to $1.94M,

What stands out is the company showed zero construction income and jumps to $346K for the quarter. This would be a direct result of the of the RM, September 30, 2024, the Company completed its merger with Primior Inc.,

Something the bean counter is overlooking as he claims the company is a scam that in my opinion, IS a big deal along with the platform up and running.

Oh come on man, quoting SEC regs as opposed to OTC regs.

It's no wonder you're no longer a bean counter.

OTC companies do NOT have a 4-day reporting rule like SEC Form 8-K.
The 4-day rule only applies to SEC-reporting issuers who must file Form 8-K under the Exchange Act.

There is no 4-day deadline for reporting material events.
OTC Markets does not impose a fixed timeline like the SEC does.

Instead, OTC Markets requires:

“Timely disclosure of material events.”

But “timely” is not defined as 4 days, and there is no automatic penalty for missing a specific window. So, do us all a favor and quit trying to claim Johnney is running a scam by NOT reporting under a "4-day rule" and getting the less informed to sell their shares.

Bit of a mixed bag. Assets and income went way up compared to last year, with liabilies and expenses only rising a fraction of the amount. Cash on hand looks low, but I attribute that to all those high asset contracts just not being officially received in hard payment yet.

The shares to Greg don't look great. It raises the OS. But at least they're restricted for now and won't dilute the price.

The financials show me there is real business happening on the backend, with big money, so the company fundamentals are very good. The public stock end of things does still need work...

If folks have to ask that question... they really should not be investing in penny stock scams,,,

Everything listed in that paragraph is a normal cost of running a public company:

state filing fees
OTC Markets fees
transfer agent fees
FINRA fees
legal fees
accounting fees
payroll

These are not loans.
These are not capital contributions.
These are not debt instruments.
These are not convertible obligations.

They are expenses.

Trying to reclassify 10 years of expenses as “debt” is not GAAP-compliant and not credible.

This is why the paragraph feels wrong — because it is wrong.

2. No company accrues 10 years of expenses as “debt owed to an insider”
This is not how corporate accounting works.

If an insider pays expenses on behalf of a company, the company must:

record a payable immediately
record the amount
record the date
record the supporting invoice
record the terms

The filing provides none of this.

Instead, it gives a vague narrative:

“For 10 years… Mr. Mitchell made substantial cash contributions…”

This is not documentation.
This is not accounting.
This is a story.

3. The company never states the total dollar amount
This is the biggest red flag.

They issued 420,286,363 shares, but they never disclose:

the total “debt” amount
the valuation
the conversion formula

If this were legitimate, the filing would say:

“Mr. Mitchell was owed $X, and the company issued 420,286,363 shares at $0.0011 per share to satisfy that debt.”

5. This is not how debt conversion worksA legitimate debt conversion requires:

a written promissory note
principal amount
interest rate
maturity date
conversion terms
board approval
disclosure within 4 business days

None of that exists here.

Instead, they retroactively claim:

“These expenditures represent Mr. Mitchell’s direct financial support…”

That is not a debt instrument.
That is retroactive justification.

6. The language is identical to filings used in other OTC shells
This paragraph is nearly word-for-word identical to language used in:

custodianship shells
reverse-merger shells
insider-controlled OTC issuers

It is boilerplate used to justify issuing massive blocks of stock to insiders.
