Explanation of Responses:
( 1)  Firebird Global Master Fund, Ltd. ("Firebird Global Fund") holds the shares of the Issuer reported herein. FGS Advisors LLC ("FGS") acts as the investment adviser to Firebird Global Fund and has voting and investment control with respect to the shares that it holds. FGS is controlled by Harvey Sawikin ("Mr. Sawikin") and James Passin ("Mr. Passin"). Mr. Sawikin and Mr. Passin also control other investment advisers to certain investment funds (together with Firebird Global Fund, the "Funds") that directly hold shares of the Issuer not reported herein. Certain of the Funds individually hold more than 10% of the Issuer's outstanding Common Stock, however no Fund has a pecuniary interest in the shares held by any other Fund. The Reporting Persons disclaim beneficial ownership of all shares reported herein except to the extent of any pecuniary interest therein and this filing should not be deemed an admission of beneficial ownership for Section 16 purposes or any other purposes.
( 2)  Ian Hague ("Mr. Hague") is a principal of FGS, and is also a director of the Issuer. Mr. Hague has separately filed a Form 3 and certain Form 4s disclosing his personal holdings of the securities of the Issuer. Mr. Hague disclaims beneficial ownership of all shares except to the extent of any pecuniary interest therein and this filing should not be deemed an admission of beneficial ownership for Section 16 purposes or any other purposes.
