The accompanying financial statements have been prepared in conformity with GAAP, which contemplate
continuation of the Company as a going concern. However, the Company had limited revenues and accumulated
deficit of $2,993,839 as of February 28, 2026. The Company has not completed its efforts to establish a stabilized
source of revenues sufficient to cover operating costs over an extended period of time. Therefore, there is substantial
doubt about the Company’s ability to continue as a going concern.
Management anticipates that the Company will be dependent, for the near future, on additional investment capital to
fund operating expenses. The Company intends to position itself so that it will be able to raise additional funds
through the capital markets and will rely on related party funding in the meantime. In light of management’s efforts,
there are no assurances that the Company will be successful in this or any of its endeavors or become financially
viable and continue as a going concern.

What a joke! Quarterly Filings have been delayed, when in fact no activity has happened and it is just a copy and paste job from previous filings..

I hope you are right. Imo, he is just buying time until that happens whether it will be in 2026 or whenever. In the meantime, he has no choice but to fund costs of filings to keep company current while at the same time, he issues to himself shares at .005 for those funds, thus diluting shareholders.

But, why is he collecting so many shares if he has no plans for those share prices to go up?? I think 2026 will show us…

If correct, why would a man pay over 1/2 million for a shell & plan a bitcoin mining company only to back out of that deal and use the shell and all the continuous expense associated with it as a home for his small real estate holdings that he alteady had before he even bought the shell?

Maybe he thought he had a bigger better deal lined up than the bitcoin mining deal and that bigger better deal also fell apart & he's been scrambling the last few years for something new in the crypto field that's legit?

If anything, he’s losing money paying monthly and quarterly filing fees, fees to attorneys, fees to accountants, etc. he hasn’t made a dime. 125 shares traded today. It’s tax loss selling season, but there are only 14 shareholders or something like that. Maybe 2026 will be our year. No sense in selling now. Scott is collecting shares for a reason. Hopefully he has a plan and wants to own as much as possible.

He was into crypto, if the original merger rumours were true, if so, must realize incredible upward potential price wise if a solid crypto merger.

Scam Scott is enriching himself at the expense of shareholders..issuing convertible promissory notes to himself and diluting shareholders..I wonder what is the convertible rate.

In February 20, 2024, the Company issued a convertible promissory note in the amount of $187,852 to 10 N
Newnan, LLC, a Company owned by the CEO, for the prepayment of the lease entered in February 2023 for three
years from February 2023 to January 2026 for the property at 10 N Newnan Street, Jacksonville, FL 32202. In
February 2024, prior to the issuance of the note, the lease was extended for an additional two years to January 2028.
The total payments for the remaining four years were $375,704 and the landlord offered a 50% discount for the
prepayment, along with a forgiveness of the $93,926 in unpaid rent to that point. The Company issued this note to
pay off the lease. The note has a term of four years, the interest rate is 10% per annum and the conversion price is
$0.005 per share of common stock. The maturity date is February 20, 2028. The Company recognized the note at its
fair value of $1,126,841, the present value of the lease liabilities that were paid off was $297,229, and prepaid
interest of $78,476 was recorded, resulting in a loss on settlement of debt of $751,136. The note was issued with a
premium of $938,989, which will be amortized over the term of the note. For the three months ended August 31,
2025, $59,129 of note premium was recognized, and the balance of the note was $768,196 (inclusive of a $580,344
premium balance) as of August 31, 2025.
In February 20, 2024, the Company issued a convertible promissory note in the amount of $101,760 to 1268 Church
Street, LLC, a Company owned by the CEO, for the prepayment of the lease entered in January 2024 for three years
from January 2024 to December 2026 for the property at 1268 Church Street, Jacksonville, FL 32202. In February
2024, prior to the issuance of the note, the lease was extended for an additional two years to December 2028. The
total payments for the five years was $203,520, none of which had been paid, and the landlord offered a 50%
discount on the unpaid amounts for the prepayment. The Company issued this note to pay off the lease. The note has
a term of five years, the interest rate is 10% per annum and the conversion price is $0.005 per share of common
stock. The maturity date is February 20, 2029. The Company recognized the note at its fair value of $654,125, the
present value the lease liabilities that were paid off was $148,735, and prepaid interest of $48,001 was recorded,
resulting in a loss on settlement of debt of $457,389. The note was issued with a premium of $552,365, which would
be amortized over the term of the note. During the three months ended August 31, 2025, $27,815 of note premium
amortization was recognized, and the balance of the note was $485,422 (inclusive of a $383,662 premium balance)
as of August 31, 2025.

Revenue and Cost of Sales
For the three months ended August 31, 2025, the Company generated total revenue of $0. The cost of sales for the
three months ended August 31, 2025, was $0.
For the three months ended August 31, 2024, the Company generated total revenue of $7,500 from renting. The cost
of sales for the three months ended August 31, 2024, was $7,356.
There was no revenue and related cost during the three months ended August 31, 2025 due to the termination of the
Company’s only sub-lease on February 28, 2025.

It depends at what price you paid for it..for example, if you bought 1000000 shares at .10, your cost would be $100,000. If you sell it at .015 cents, your proceeds will be $15,000 and your capital loss would be $ 85,000.

I hear you..it has happened to me few times too..you need to have patience and hope it pays off.

Here’s what I have found, the moment I give up on a stock and sell all my shares, news comes out the next week and I live to regret it. I hope whoever sold today gets the same treatment that I always have gotten in the past, when I gave up!! 🤣🤣🤣
