("CNER" or the "Company") (OTC: CNER) (formerly China New Energy Group Company), a public company pioneering scalable, modular waste-to-energy infrastructure, today announced the signing of a non-exclusive Global Licensing Agreement with Bio Energy Solutions Inc. of Edmonton Alberta, with an option to acquire 100% of the Bio Energy Solutions Inc. which includes it's intellectual property portfolio, including the breakthrough bioreactor technology.
Under the terms of the agreement, CNER has secured the global license to manufacture, sell, distribute, and operate the modular bioreactor technology across all markets on a non-exclusive basis. In consideration, Bio Energy Solutions Inc. will receive a 25% equity stake in CNER's newly formed subsidiary, Syngas BioEnergy Corporation ("SynGas").
SynGas is responsible for building, operating, and commercializing the energy outputs of the bioreactor under long-term, utility-style offtake agreements with its clients. The bioreactor's flexible technology enables the production of clean syngas, biocarbon, biochar, and wood vinegar — with output ratios optimized digitally and remotely, depending on the customer's application needs.

Agreement to Commercialize Syngas bioEnergy Technology to Address Energy Security for Farmers and Ranchers.
On April 22nd CNER announced that it has entered into a strategic agreement to commercialize the syngas technology developed by BioEnergy Solutions Inc., an Alberta, Canada renewable energy developer, to launch the first commercial deployment of the bioReactor—a modular, containerized waste-to-energy system.
The initial installation is proposed to be located onsite at a major cattle operation in California’s San Joaquin Valley. Under the agreement, CNER will create a subsidiary called SynGas BioEnergy Corporation, the CNER internal commercialization entity. CNER will provide capital to fund the build, installation and ongoing operations of the CNER bioReactor technology.
The CNER bioreactor converts manure and other organic waste into clean thermal energy and biochar. The compact system delivers up to 1.5 megawatts of thermal energy per hour from 2 tons per hour of cow manure. The bioreactors will be placed close to waste sites, creating a micro-power Grid for all farming operations.

Heal Diabetes has 2 locations operating and has billed $1.2M in diabetic care service year to date in 2023 and is seeing consistent month-over-month growth. Over 350 patients have been treated in 2023 at the Honolulu HI and Waipahu HI clinics. We plan to open two more clinics in early 2024. The first one in Waipahu to accommodate a waitlist of 200 patients. And the second new clinic in Waianae, HI, to serve over 4,500 diabetic patients through network referrals.

The acquisition is an asset purchase transaction is an all-stock acquisition and will close once Thrive Precision Health Hawaii Inc. (a wholly owned subsidiary of Thrive Precision Health Inc.) completes its mandatory credentialing in Hawaii, estimated to be 90-120 days. During this hold period, THRV will advance funds to Heal Diabetes to expand their operations and add the two new locations.
