This was primarily driven by higher sales in the European and North American commercial vehicle end markets, including MirrorEye, incremental contract manufacturing revenue related to the sale of Control Devices, and higher off-highway sales. First quarter adjusted operating margin of 2.8% increased by 260 basis points compared to the fourth quarter of 2025, primarily driven by contribution on higher sales, lower direct material and overhead costs, including net tariff-related recoveries, partially offset by higher SG&A and D&D costs.Relative to the first quarter of 2025, Electronics first quarter sales increased by $4.3 million, or 3.1%. This was primarily driven by favorable foreign translation impact of $12.9 million, higher MirrorEye sales, incremental contract manufacturing revenue, and higher sales in the North American commercial vehicle and European off-highway end markets. These increases were partially offset by lower sales in the European commercial vehicle end market, including lower sales for the Smart 2 tachograph due to the end of a regulatory retrofit campaign. First quarter adjusted operating margin of 2.8% decreased by 210 basis points compared to the first quarter of 2025, primarily driven by higher material costs due to sales mix and the impact of foreign currency, offset by lower D&D and quality-related costs.Stoneridge Brazil first quarter sales of $18.1 million increased by $1.6 million, or 9.4%, relative to the fourth quarter of 2025, primarily driven by higher OEM sales in the Brazilian market and favorable foreign currency translation. First quarter adjusted operating income of $1.7 million, or 9.5% of sales, increased by $0.4 million, or 140 basis points, relative to the fourth quarter of 2025, primarily driven by fixed cost leverage on higher sales and lower SG&A costs, partially offset by unfavorable sales mix from a lower proportion of monitoring fees.Relative to the first quarter of 2025, Stoneridge Brazil first quarter sales increased by $3.7 million, or 25.9%. The Company announced fourth quarter sales of $205.2 million. Gross profit was $33.2 million (16.2% of sales) and adjusted gross profit was $33.2 million (16.2% of sales). Operating loss was $(29.5) million ((14.4)% of sales) while adjusted operating loss was $(6.7) million ((3.3)% of sales). Operating loss was adjusted to account for the pre-tax impairment of Control Devices assets of $(21.6) million among other non-recurring expenses as outlined in Exhibit 2. Net loss was $(76.9) million and adjusted net loss was $(14.7) million. Net loss was adjusted to account for the previously discussed impairment as well as the recording of tax valuation allowances of $44.5 million net, among other non-recurring expenses as outlined in Exhibit 4. Loss per share (EPS) was $(2.76) and adjusted EPS was $(0.53). Adjusted EBITDA was $3.4 million (1.7% of sales).The Company announced full-year sales of $861.3 million, gross profit of $171.2 million (19.9% of sales) and adjusted gross profit of $173.6 million (20.2% of sales). (NYSE: SRI) today announced that Jim Zizelman, president and chief executive officer, is retiring, effective May 20, 2026, following nearly seven years of dedicated service to the Company. The Stoneridge Board of Directors has appointed Natalia Noblet, the current president of Stoneridge Electronics, as incoming president and chief executive officer as part of a planned leadership transition.







Jim will continue to serve as president and chief executive officer until March 31, 2026, when he will transition into the role of strategic advisor to support leadership continuity and key stakeholder relationships. Natalia will assume the role of president and chief executive officer and become a member of the board of directors on April 1, 2026. (NYSE: SRI) today announced that it has completed the sale of its Control Devices segment to an affiliate of Center Rock Capital Partners, LP ("Center Rock"), a private investment firm specializing in driving long-term value creation for middle-market industrial businesses. The transaction was closed, effective as of January 30, 2026, concurrent with the signing of the definitive agreement to sell the Control Devices segment.







The sale was completed with a base purchase price of $59 million. Stoneridge will use the net cash proceeds, after tax and transaction-related expenses, to repay its debt and strengthen its balance sheet. The sale of Control Devices will allow Stoneridge to accelerate and support its core growth platforms in both Electronics and Brazil and support strategic initiatives that position the Company for long-term success."This transaction is a critical step in our long-term strategy. SRI Acquires 51% of Bolton Conductive Systems

WARREN, Ohio, Oct. 13 /PRNewswire-FirstCall/ -- Stoneridge, Inc. (NYSE: SRI) announced today that it has signed an agreement to acquire a 51% equity interest in Bolton Conductive Systems LLC (BCS), an electrical system supplier based in Walled Lake, Michigan, for initial consideration of $5,865,000 and depending on BCS's performance in 2010, 2011 and 2012, additional consideration payments in 2011, 2012 and 2013.

Subject to the customary closing conditions, Stoneridge acquired a 51% equity interest in BCS and will have the option to purchase the balance of BCS in 2013. BCS designs and manufactures a wide variety of electrical solutions for the military, automotive, and marine and specialty vehicle markets. Bolton Conductive Systems has been focusing its resources on designing, manufacturing and selling to Oshkosh, Force Protection, General Dynamics, AM General and BAE in the military market which will complement Stoneridge's efforts at Navistar.

"BCS has strong products and relationships and represents an opportunity for Stoneridge to immediately expand our presence in the military channel, which we believe has excellent strategic growth potential and is a good long-term complement to our existing business," said John C. WARREN, Ohio, May 1 /PRNewswire-FirstCall/ -- Stoneridge, Inc. (NYSE: SRI) today announced net sales of $121.1 million and a net loss of $11.6 million, or $(0.49) per diluted share, for the first quarter ended March 31, 2009.

Net sales decreased $82.0 million, or 40.4 percent, to $121.1 million, compared with $203.1 million for the first quarter of 2008. The decrease in net sales was primarily caused by dramatically reduced production volumes in the North American passenger car/light truck market (50.9%) and the commercial vehicle markets in Europe (55.6%) and North America (41.8%), and the effect of foreign currency translation. Foreign currency translation negatively affected first-quarter net sales by approximately $7.5 million compared with the same period in 2008. The sales decrease was partially offset by the strength in the North American agricultural and off-road market.

Net loss for the first quarter was $11.6 million, or $(0.49) per diluted share, compared with net income of $6.5 million, or $0.28 per diluted share, in the first quarter of 2008. The decrease in net income was due primarily to the severe reduction in sales volume the Company experienced in many of its markets.

As of March 31, 2009, Stoneridge's consolidated cash position was $89.2 million, $3.5 million lower than the 2008 year-end balance of $92.7 million, and its ABL facility remains undrawn. Net cash provided by operating activities for the quarter ended March 31, 2009 was $1.2 million, compared with $8.6 million for the quarter ended March 31, 2008. The decrease of $7.4 million in cash provided by operating activities was primarily due to a reduction in earnings caused by the reduction in sales offset by working capital reductions.

Chrysler announced yesterday that it has filed for a quick and efficient bankruptcy. To minimize Stoneridge's exposure, the Company has filed for and has been accepted to participate in the Chrysler and General Motors U.S. Government supplier accounts receivable guarantee program.

Outlook

"The decrease in production volumes globally in the first quarter was the most severe the Company has ever experienced," said John C. Corey, president and chief executive officer. "Current market conditions have caused unprecedented turmoil throughout our industry and we are managing our operations to react rapidly and adjust to quickly changing demand. Nevertheless, we are encouraged that our cost-savings initiatives that have been implemented and our available liquidity and capital structure will allow us to operate through a protracted downturn in volume and position us for the new competitive landscape once markets recover. Although the first half of 2009 will be worse than we originally expected, we continue to expect Stoneridge to be operating income and cash flow from operations positive in 2009, with improved business conditions by late third quarter and in the fourth quarter."
